General Counsel Duties: Serves as the District’s inâ€house legal counsel providing legal counsel to the District and its Board of Commissioners in accordance with the Rules of Professional conduct and the Governance Policy of the District. Responsibilities include providing professional, accurate, objective and timely legal advice and counsel to the Commission and District management and staff, including advice on local, state, and federal law, contract issues, regulations and litigation, consistent with the professional obligations of public attorneys. Faithfully perform all duties and functions of a general legal counsel for a Public Utility District organized under the laws of the State of Washington to assist and facilitate the activities and lawful purposes of the District. Represent and direct the District’s legal matters and services consistent with District goals, objectives, policies and budgets. Ensure compliance with local, state and federal laws. Advise on legal matters as necessary/upon request. Attend Board of Commissioners meetings and provide clear, accurate and direct advice regarding legal matters. Help the Board to be successful in discharging their duties. Provide advice to Board of Commissioners. Manages, directs and coordinates all utility litigation and arbitration matters. Arrange for outside legal counsel and specialty legal services as may be required and appropriate. Direct, supervise and review the work of outside legal specialists to ensure the best interests of the District are being met in a cost effective manner. Responsible for District contracts, legal documents and resolutions. Prepare or review all contracts and agreements on all District matters. Ensure proper formation and execution of contracts and other legal documents in accordance with state and federal requirements. Educate and train District staff; ensure that statutes and governmental rules and regulations pertaining to or affecting District operations are known by employees and properly observed. Review and evaluate District policies to ensure compliance with legal requirements. Supervises the Contract Specialist/Paralegal.
Qualification and Experience
Qualifications: JD Degree required. Requires active membership in Washington State Bar. Association with required continuing legal education. 15 years of experience in the practice of law. Experience in a senior level position providing legal opinions and advice on behalf of. municipal corporations in Washington State as supervising attorney, City Attorney, or. General Counsel to a municipal corporation in Washington State is preferred. Advanced knowledge and experience in the following areas of practice is necessary:. municipal; contract and general business law; environmental; energy issues; regulatory. matters; audit; and compliance issues. Litigation experience is helpful. Strong communications skills in dealing with the Board, General Manager, employees. and the public. Understanding of the laws of Public Utility Districts. Ability to communicate and work effectively with all levels of professional and. management employees and the Board of Commissioners. Highly effective writing and oral communication skills. Thorough and accurate research and analysis skills through the use of all available. electronic or hard copy resources. Very strong negotiation, communication and organizational skills. Capable of working in a high intensity environment; supporting and prioritizing multiple,. complex projects. Must work well under pressure with stringent and critical deadlines.
