Vice President, Compliance & Chief Compliance Officer Duties: Developing, implementing, communicating, maintaining and improving a strategic vision and plan for a robust enterprise-wide Compliance Management System (CMS), consistent with the requirements of the Consumer Financial Protection Bureau (CFPB) and other applicable financial institution regulators. Reviewing, evaluating, updating, and managing compliance policies for the credit union, in addition to assisting, advising, and training business units and their staff in carrying out their compliance obligations. In addition to establishing and maintaining a CMS, will provide oversight as well as support to other key components of compliance, including consumer complaint management and third party vendor management. In this role, the individual will build an office that functions as an independent and objective body that reviews, evaluates, and audits the effectiveness of the credit union’s CMS across business units while collaborating with functional areas (Internal Audit, IT, Human Capital Group, Finance, Legal). Will build, lead and manage a team of compliance professionals dedicated to developing compliance programs, auditing and monitoring compliance systems, and advising and training staff on compliance matters. Manages all compliance reviews of federal/state regulators and serves as the primary Company liaison with the CFPB. Calls for someone who can help executive leadership direct operations and who can also assist the Board of Directors in performing its oversight role relative to compliance. Communicate and influence the highest levels of the organization. In this regard, the position ensures the production and delivery of required monitoring and compliance metric reporting to executive leadership and the Board of Directors (including its Supervisory Committee). Reports to the Senior Vice President, Corporate Affairs and Chief Administrative Officer and also has a dotted line reporting relationship to the Supervisory Committee of the Board. Compliance Program Execution and Management: Coordinate and perform ongoing risk assessments and compliance reviews to ensure compliance policies and risk controls are operating appropriately. Create analyses of risk assessments for business group(s). Identify and analyze factors which may affect risk mitigation and compliance with applicable regulatory requirements. Anticipate potential consequences of unaddressed risk factors or shortfalls in compliance and recommend appropriate controls. Continually challenge staff through ongoing dialogue and discussion to identify opportunities to implement more effective compliance-related policies and procedures. Elevate high profile or high risk cases to management, executive leadership, and the Board of Directors to ensure visibility and prompt resolution. Perform ongoing validation of monitoring strategies to ensure appropriate governance and control. Identify observations of trends and recommendations to optimize data. Execute appropriate testing and analyze key performance indicators to ensure requirements of the policies and programs are maintained at a level commensurate with regulatory expectations. Support root cause analysis in response to material control failures in line(s) of business. Prepare complete, accurate documentation of compliance monitoring and surveillance activities. Report findings to management, executive leadership and the Board and provide timely follow-up on outstanding issues. Validate that issues identified through compliance monitoring and review processes are promptly addressed. Ensure that management remediation plans are adequate. Oversees management of the credit union’s fair banking/fair lending compliance program, by monitoring, reporting and advising on policies, procedures and guidelines. Monitor operations (e.g., marketing, origination, processing, underwriting, servicing, collection and loss mitigation) to ensure sound fair lending practices are being applied. Prepare periodic fair lending reports. Develops and monitors key risk indicators for fair lending, redlining, and fair banking; analyzes results to recommend compliance monitoring or other actions. Stays abreast of all regulatory and compliance changes affecting the credit union. Oversees the management of regulatory compliance examinations of the CFPB. Maintains a high level of regulatory compliance and operations knowledge, including thorough understanding of all relevant laws and regulations in consumer protection and fair lending. Continually identify ways to create, enhance, maintain and test compliance rules contained within the firm’s proprietary investment management platform. Perform regular compliance testing, ensure all required books and records are properly maintained and prepare reports. Perform material compliance-related due diligence for new prospective institutional partners and act as an ongoing regulatory liaison to our current partners. Regulatory Consultation and Governance: Serve as a consultant to the credit union’s senior management and executive leadership teams and the Board of Directors on compliance. Ensure provision of advisory services and training on compliance matters to management and staff (first line of defense). Work proactively with business line contacts and management toward ensuring that effective and efficient compliance risk management solutions are identified and implemented. Review various forms, disclosures and advertisements for compliance with applicable requirements. Consult on new products, services and automated systems to assist with incorporating compliance requirements into these initiatives. Develop and maintain a high level of expertise in all regulations, directives and guidance which apply to the business units supported. Provide input regarding emerging issues and interpretation of regulations. Identify training needs based on gaps identified through the compliance monitoring process. Identify possible enhancements to compliance tools and processes and communicate them to the management. Assist in communicating and implementing changes to applicable regulatory policies and procedures. Represent the compliance team and interact with examiners and auditors during internal, external and regulatory audits and examinations. Provide regulatory perspective on appropriateness of sales and marketing materials. Qualification and Experience

Qualifications: Bachelor’s degree, Master’s degree or JD Degree in a field relevant to compliance e.g. law, contract administration, business administration, audit or equivalent experience. Recognized compliance certification is a plus. 10+ years of compliance experience in financial services (will consider audit or similar operational experience in financial services) or comparable industry. BSA/AML experiences a plus. Knowledge of bank regulatory environment. Extensive experience interacting with federal/state regulators and the CFPB highly preferred. Ability to effectively communicate the roles and importance of each of the three lines of defense as well as proactively identifying regulatory risk. Experience influencing and leading organizational change. Strong analytical problem solving and project management skills. Excellent relationship building skills and ability to work collaboratively. Ability to identify and analyze the complex regulatory issues and their effect on the credit union’s business. Adequate computer skills including MS Office, Outlook and Excel.
