Assistant General Counsel Responsibilities: Provide support to the General Counsel in the following areas: Advise the CEO and all departments in areas / projects / matters related to the legal department as assigned by the General Counsel. Design and execution of strategic initiatives, such as global corporate restructure. Creation of funds and other investment vehicles, carrying out mergers and acquisitions, which involve brainstorming, planning, and project management, as well as execution / drafting / review of legal / corporate / operational documentation such as charters, by laws, meeting minutes and governmental filings. Lead the legal process review, negotiation and disbursements of loans to affiliates granted by local and international lenders which involves: i) ensuring an efficient process through process redesign and coordination/follow up with local Finance Department and local in-house and external legal counsels: ii) preparing, reviewing, negotiating and maintaining an electronic and hard copy archive of contracts and other legal documents with regard to said loans. Provide advice on how offer securities in various way to the lenders of affiliates and other financial aspects in relation to such transactions. Prepare legal opinions under US law, as required for financings and other purposes, strictly limited in scope. Develop, maintain and/or revise, as necessary, any executing policies and procedures to enhance compliance across the organization with applicable laws and regulations, including maintaining US tax-exempt (501(c)(3)) status, compliance with FCPA, OFAC, anti-money-laundering, Patriot Act, ERISA, and maintaining good standing in D.C. and N.Y.; charitable registrations with U.S. states and elsewhere as needed; compliance with regulatory regimes in other countries: foreign investment law, currency controls, tax, etc. Oversee the maintenance of corporate compliance files, including timely corporate filings and renewal of corporate licenses. Negotiate, write, review, and maintain the archive of a wide variety of contracts. Prepare and archive of Board/ Committee minutes; certifying minutes and other corporate documents; maintaining corporate data sheets on affiliates in the operating jurisdictions. Manage and liaise of external counsel relationships and their costs to ensure high added value at reasonable costs. Advise on Intellectual Property; oversee and monitor trademark registration and related matters to assure PMIs name, logo, slogans and other intellectual property are duly protected in the markets where it operates and may operate in the future. Deal with complex, non-complex and legal-administrative matters when needed. Perform other related duties as required or assigned by the General Counsel.

Qualification and Experience

Qualifications: Law Degree. NY Bar membership required and Bar membership in any Latin American country a plus. L.L.M. in International Business/Banking Law or MBA (a plus). 7+ years' professional experience practicing international business law with 2+ years experience at the level of Assistant General Counsel or Senior Attorney or equivalent. Experience in launching of funds, Merger & Acquisitions, corporate, tax, commercial and international finance/banking law. Working experience and familiarity with corporate legal structures and financial transactions (loans, investments) in US and Latin America. Proven general counsel experience in business environment. Understanding of for-profit, non-profit / philanthropic sectors and related legal issues. Ability to work on multiple projects simultaneously in diverse legal subject areas. Exceptional written and oral communication skills in English and Spanish. Team player. Strong sense of customer service and eagerness to work in a wide range of tasks, including non-complex and legal administrative assignments. Results-oriented attitude and hand-on approach. Detail oriented, with demonstrated vision and ability to stay current with newest legal trends. Ability to work with different cultures. Strong interest in empowering women and alleviation of poverty initiatives.
