Assistant / Associate General Counsel The candidate will report to the EVP and General Counsel and will provide legal support to all areas of the Company, but primarily the insurance product, policyholder services and claims areas. Protect the interests of the Company and its assets and properties through effective management of risk and compliance with applicable policies, procedures, guidelines and law. Provide specialized legal counsel to all levels of management within assigned business unit and/or function in support of their tactical and strategic business initiatives to include: sale, distribution and administration of all insurance products. Reviews, interprets and provides legal advice regarding various insurance and service agreements. Identify, prioritize, and lead all legal activities in support of business objectives of assigned business unit and/or function. Develop and maintain effective business relationships with management, outside counsel, government agencies, policy-holders or their representatives in order to facilitate the handling of legal issues. Contribute to the achievement of business objectives by developing close professional relationships with personnel of all levels, by providing specialized legal counsel, knowledge, skills and decision making in support of tactical and strategic business initiatives. Manage outside legal counsel to include reviewing and approving case and project budgets, counsel fees and expenses. Determine cost effectiveness of outside legal counsel. Maintain expertise in and analyzes state and federal insurance laws and regulations. Review proposed business plans, policies and practices, and provides recommendations to ensure legal and ethical compliance in achieving business objectives. Represent the Law Operation on various Company committees. Provide commercial contracting support for various agreements necessary to support the operations of the company. Work cross-functionally with business teams to research and provide guidance on insurance regulatory requirements. Help launch new insurance products as the opportunity and need arises. Monitor legal and regulatory developments at the 50-state, federal and local levels and advising company executives and managers in legal and regulatory compliance matters related to the sale and marketing of company’s insurance products. Work cross-functionally with business teams to mitigate risk. Provide advice and counsel to various internal clients to proactively address and resolve current and potential disputes. Provide risk management advice to business clients while supporting business objectives. Juris Doctor degree from an ABA-accredited law school and a license to practice law in Nebraska (or to qualify for licensing in Nebraska) required. 7+ years legal experience, including substantial experience in insurance required. Familiarity with qualified retirement plans and their design and administration required. Knowledgeable of ERISA and Internal Revenue Code guidance impacting qualified retirement plans, retirement annuities and insurance products required. Experience: handling fiduciary issues in a financial service and product environment; drafting, reviewing and negotiating retirement plan service provider agreements; timely applying legal and regulatory developments to retirement and insurance products; with fixed annuities required. Excellent organizational, legal, analytical, communication, negotiation, drafting and legal writing skills required. Demonstrated knowledge and experience in areas of insurance and litigation required. Considerable experience with legal matters from an administrative, contractual, statutory and regulatory standpoint required. Familiarity with computer applications required. In depth knowledge of state insurance laws and federal laws relating to product development, policy filing, marketing, taxation and the distribution of various insurance products, as well as a strong working knowledge of federal and state laws impacting insurance litigation preferred.
