Summary:

The General Counsel reports to the President and has responsibility for all legal matters of the corporation, enterprise risk management, and real estate and property strategy and management. Serves as the chief legal advisor to The Tatitlek Corporation and its subsidiaries by ensuring that the corporation is operating within the law at all times and management is well informed of legal, regulatory and ethical standards in order to make responsible decisions. Significant depth of senior level experience in the legal and real estate fields are a necessity. Supervises staff attorney, director of real estate and properties, risk manager, and other staff as assigned.

Essential Duties and Responsibilities:

  • Advises and represents the President and Board of Directors on all legal matters affecting The Tatitlek Corporation and its subsidiaries.
  • Develops and implements the legal strategies consistent with the corporation’s strategic plan in conformance with local, state and federal law.
  • Provides legal, negotiation, and/or litigation advice and services.
  • Prepares legal opinions for the corporation and its subsidiaries. Advises on employment law policy and practices.
  • Participates in the analysis of proposed legislation and regulation; participates in industry and intergovernmental activities to influence legislative and regulatory change consistent with the corporation’s interests and needs.
    • Overseeing management and operation, including leasing, property management and loan administration, of the Company’s commercial real estate holdings; and
    • Overseeing dispositions and acquisitions, including exchanges, joint ventures and financing arrangements, regarding the Company’s real estate holdings.
  • Participates in the design, development and implementation of corporate policies, procedures and programs and provides legal counsel and guidance on legal matters, regulatory interpretations and on legal implications of all matters. 
  • Serves as the key legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
  • Provides advice on a varied range of legal issues, including contracts, governance and compliance, business development, mergers and acquisitions, employment, technology and litigation management.
  • Plans and evaluates performance of assigned staff and legal consultants; establishes performance requirements and personal development targets; regularly monitors performance and provides coaching for performance improvement and developments.
  • Retains, supervises and provides direction to outside counsel and experts while taking appropriate action to minimize the costs.   
  • Prepares invoices, reports, memos, letters, financial statements and other documents, using word processing, spreadsheet, database, or presentation software.
  • Analyzes incoming legal issues and prepares and presents a course of action for review by the executive management team. 
  • Interfaces with regulatory agencies, client agencies, and independent auditors regarding the Company’s legal issues.
  • Assists Senior Management and other employees with a broad range of legal issues, including, but not limited to, government and commercial contracting, SBA compliance, joint ventures, prime-subcontractor relationships, native law, acquisitions, antitrust, employment issues, product safety, creditors’ rights and privacy issues, internal auditing and compliance analysis, bond claims and litigation.
  • Prepares, reviews and/or analyzes legal documents, including briefs, pleadings, appeals, wills, contracts, and real estate transactions.
  • Investigates facts and law of cases to determine causes of action and to prepare or verify pleadings and discovery.
  • Manages program for legal-fees and outside expert billing practices, including budgeting, tracking, and maximizing value.
  • Provides direction to the risk manager and oversight of the enterprise risk management policies and procedures to include recommending proper internal controls and compliance programs are in place for the corporation and its subsidiaries.
  • In conjunction with the senior management team, works to reduce liability and risk through adopting policies that protect the corporation from undue legal exposure.
  • Monitors claims against the corporation and develops litigation strategies and negotiates settlements of disputes where warranted.
  • Provide insurance coverage assessments for new claims and monitor insurance claims involving litigation in coordination with the Risk Manager.
  • Optimizing the value of the Company’s real estate portfolio and making recommendations to the President, CEO and BOD in connection with achieving such goals.
  • Provides direction to the director of real estate and properties to maximize the portfolio’s profitability and resource utilization, to include:

Qualifications - Education, Experience and Licensure:

Required:

  • Alaska Bar Admission required.
  • Minimum of 15 years experience in a law firm or a corporate law department.
  • Minimum of 5 years experience in real estate transactions and management.
  • Significant depth of senior level experience in the legal and real estate fields are required.

Preferred:

  • California Bar Admission a plus.

Skills, Knowledge and Abilities

  • Demonstrated skills in interpreting and applying laws, regulations, case law, statues and policies to provide expert advice to senior management concerning legal obligations and flexibilities.
  • Knowledge of laws, legal codes, court procedures, precedents, government regulations, executive orders and agency rules.
  • Knowledge of administrative and clerical procedures and systems such as word processing, managing files and records, designing forms, and other office procedures and terminology.
  • Knowledge of business and management principles involved in strategic planning, resource allocation, human resources modeling, leadership technique, production methods, and coordination of people and resources.
  • Use logic and reasoning to identify the strengths and weaknesses of alternative solutions, conclusions or approaches to problems.
  • Ability to combine pieces of information to form general rules or conclusions.
  • Use communication and organizational skills to coordinate, supervise, manage and train others to accomplish goals.
  • Work professionally and collaboratively with the Board Counsel, senior management, and the Board to keep it regularly informed of projects, advice, investigations, and communications with outside parties.
  • Extensive experience handling sophisticated multi-million dollar transaction matters.
  • Experienced in real estate financing and/or business transactional experience.
  • Preparing and negotiating purchase and sale agreements, closing documents, leases and loan documents.
  • Reviewing due diligence items including organizational documents, title and survey, and addressing any closing and handling issues.
  • Negotiating, preparing and revising restrictive covenants, subordination agreements, and loan agreements and modifications.

Near visual acuity to review written documentation; ability to hear and understand speech at normal room levels and on the telephone; manual dexterity to operate a telephone and keyboard; lift horizontally and vertically.  Assignment may require travel and work assignments at other locations.  Travel may be of durations of a week or more and require air travel.
