ProfileCounsel - Structured Finance The candidate will support the Corporate and Investment Bank’s Global Markets platform. Provide advice on and coverage for a variety of financing transactions. Draft, review and advise on legal and contractual documentation for structured finance transactions entered into by the Global Markets platform, including ABS offerings, fund-related financings, and insurance solutions. Advise on legal and transactional issues as they arise within the Global Markets platform. Work with the business team and support functions on transaction structuring and new product development. Coordinate multi-jurisdictional, cross-border legal due diligence review, as necessary. Take all necessary steps to ensure a proper understanding of legal risks incurred by the Global Markets platform and providing appropriate solutions in order to control and reduce legal risks. Coordinate with the Head Office and other locations to promote transparency and consistency in approach. Provide legal analysis on new products and contributions for the New Product Committee as necessary. Instruct and manage external counsel and legal fees for the Global Markets platform. Provide oversight and analysis for regulatory matters that impact the Global Markets platform. A JD or LLM degree and 4+ years of experience at a large financial institution and/or at a law firm required. Solid verbal and interpersonal skills required. Skillful written communication is necessary; the ability to convey thoughts clearly and succinctly and to communicate pertinent, complex information in a clear and organized manner. Strong analytical and organizational skills required. The ability to manage multiple priorities, working under pressure to meet deadlines, and the ability to respond creatively and quickly in a fast-paced and changing environment required.
