Corporate Counsel Duties: Works in association with the General Counsel/Corporate Secretary as a member of the Legal team with a focus on corporate governance and deposit and wealth management transactions and support. Provides legal research and advice in support of branch activities and fiduciary transactions. Drafts documents, policies and agreements primarily related to commercial bank business and occasionally litigation matters. Researches and analyzes law sources to prepare legal documents. Coordinates with internal departments and outside regulatory agencies as needed. With limited supervision, provides legal advice to Bank internal customers regarding banking and corporate law issues. Provides legal research and support for regulatory issues. Supports Corporate Secretary function with legal research and best practice recommendations for Board of Directors and Shareholder management. Supports various bank support services including Human Resources, Wealth Management and BSA/FRAML and Bank Operations teams. Develops, maintains, and manages relationships with outside counsel and law firms to augment Legal Department services. Monitors state and federal case law and legislative developments that may impact the Bank. Represents Legal on Compliance sub-committees. Regular, reliable attendance is required. Performs compliance and risk management duties as required or assigned.
Qualification and Experience
Requirements: JD Degree. Licensed to practice law in Washington or qualified to work as in-house counsel in Washington. 5 years’ experience of practice in corporate or trust law preferred. General knowledge of banking law including UCC Article 3 and UCC Article 4. Expertise in Delaware and Washington corporation law. Expertise in SEC regulations and ability to interpret those regulations in the private company environment. Experience with banking regulations. Ability to parse complex transactions and identify key risk factors. Experience interpreting fiduciary laws in Washington, Oregon and Idaho including powers of attorney, trust and agency law in a banking and trust company environment.
