ProfileDirector of Legal The candidate will report to the Chief Financial Officer. Will serve as the principal legal advisor to the Company’s senior management and responsible for managing the Company’s legal requirements. Focus on day-to-day Company operations including all transactions, compliance and regulatory matters, corporate governance, financings, intellectual property, privacy matters, employment law, general litigation and dispute resolution. Oversee all legal matters, strategic and operational, and advise the Senior Leadership Team accordingly; assess and prioritize risk vs firm's strategic goals. Negotiate, draft and advise regarding possible partnerships, equity investments, acquisitions and joint ventures through guidance and process discipline. Implement and maintain processes and procedures, including legal infrastructure for contracts, agreements and back-end operation. Anticipate and counsel on issues of strategic importance and contribute to the corporate strategy planning process; advise the Company on the legal and regulatory risks of possible business decisions. Ensure compliance with all relevant laws and regulatory requirement. Ensure that Frontpoint management is advised of any new legislation or regulation which may significantly affect the Company. Lead the legal services provided to the Company; choose and manage the most effective outside counsel and coordinate with in-house counsel activities; forecast, budget and manage annual outside legal expenditures; establish procedures for evaluating the quality and cost for services of outside counsel. Support the Company’s growth and expansion; actively supervise the development and dissemination of policies and guidelines that will ensure that the Company follows all laws, regulations and rules that may apply to the Company’s activities. Design and create the legal function appropriate for the Company’s environment and prospective growth; supervise and coordinate the legal services provided by the Company; hire and lead Company lawyers and employees as needed and manage the day-to-day operations of the department, including budgeting; maintain administrative procedures designed to maintain and improve office efficiency, communication and cost management. Balance firm's business goals with the Company’s ethics and integrity by, as much as possible, visibly and regularly educating Company employees on the Company’s compliance policies and overseeing the Company’s implementation of those policies.
Qualification and Experience
The candidate should have 5-7 years of experience as a practicing lawyer, ideally with in-house experience from a high growth tech company.Should have Law degree from a US accredited law school and be a member of the Virginia State Bar (or be a member of another state bar and prepared to become a member of the Virginia Bar).Must have experience drafting and negotiating complex transactions agreements within Marketing and Product domains; proven experience navigating litigious matters, demonstrated intellect, vision and judgment; understanding of when to bring in outside legal expertise as needed and manage cost effectively. Should have knowledge of the law and business to advise on risk/reward trade-offs; ability to balance protecting the company against risk with facilitating the business’ objectives; a creative problem solver.
