Legal Counsel - Global Prime Finance The candidate will assess future/proposed legislation and regulations for potential impact on the GPF business model. Will manage contract negotiations and contract negotiation processes, as well as manage changes to template form agreements. Advise businesses and lead projects to develop platforms involving new products, new fund structures or new jurisdictions. Coordinate responses to regulatory inquiries and examinations. Provide counsel on netting, setoff and enforceability rights. Participate actively in industry working groups to advocate for the bank and to understand and influence the development of industry practices. Work with colleagues in the Legal department in the US and overseas. Develop implementation strategies to change systems, processes and documentation. Work with business, infrastructure groups and project management to execute such strategies. Coordinate with compliance and other control functions. Must have 5-10 years of experience at a law firm/in-house or regulatory authority with relevant experience. A thorough understanding of how global prime finance businesses operate, including with respect to best practices and industry standards is required. Expertise in applying rules and regulations pertinent to GPF, including Reg T, Reg X, Reg U, Reg SHO, Rule 15c3-1, Rule 15c-3 and other SEC and FINRA rules needed. A working understanding of Volcker, Title VII and EU regulations such as EMIR and MiFid2 is a must.
