ProfileLegal Associate - Residential Mortgage Warehouse Lending The candidate will be providing legal support in the origination and asset management of new and existing warehouse lines to ensure timely close of transactions. Will also be responsible for continuous monitoring of facilities to ensure on-going compliance with internal bank credit policy, facility documentation and external regulatory requirements. Preparing waivers and amendments, as needed. Preparing NDAs and Confidentiality Agreements. Working with external counsel to prepare all docs that are not prepared in-house (i.e., new client documents, renewal of facilities, custodial agreements, etc.). Preparing and sending committee approval requests for new facilities and amendments; track approvals and distribute final sign-off from all committee members; prepare and send monthly report of all approvals for the current month. Coordinating the obtaining of required signatures on transaction documents and keeping track of, and uploading to the shared drive, all documents that are executed. Updating and distributing client renewal timeline spreadsheet, which includes process dates (i.e., providing application to client, preparing credit memo, performing on-site diligence, etc.) to the team on a weekly basis to ensure that all expiration deadlines are met. Distributing final documents to appropriate distribution lists and ensuring electronic copies are maintained. Complying with all internal policies and applicable mandated regulations. Preparing minutes of weekly team meeting and distributing to team. Preparing minutes of weekly pipeline meeting and distributing to all attendees. Overseeing outside counsel legal billing to ensure that invoices are correct and are paid in a timely manner, and preparing weekly report of all outstanding invoices and providing to Group Head. Preparing weekly tracker of all tasks/assignments on which each team member is working, as well as all waivers and outstanding financial covenant reports, and providing to Group Head. Participating in meetings and phone calls regarding various facilities, as required. Performing QC of presentations, and providing assistance on special projects, as necessary. Meeting weekly with Group Head to review the various reports and to discuss upcoming issues and deadlines that need to be addressed.
Qualification and Experience
The candidate must have 2-3 years work experience as an attorney. Must have knowledge of and experience in mortgage finance. Must have excellent analytical and communications capabilities.
