Counsel, Global Technology and Sourcing Duties: Supporting the Technology and Sourcing organizations with the drafting, review and negotiation of a wide variety of complex, global commercial agreements with third party suppliers, including software licensing, hardware, IT/consulting services, telecommunications and outsourcing. Draft, review and negotiate complex, global commercial agreements, including master agreements, statements of work, engagement letters, work orders, service and maintenance schedules, NDAs, data protection agreements and related project documentation- Provide legal advice and counseling to members of the Technology and Sourcing organizations related to complex, global commercial agreements. Coordinate with various specialists and business unit lawyers throughout the Legal Department on advice and project inputs. Assist with project management of certain commercial projects. Assist with compliance and risk management initiatives and dispute resolution. Periodically train personnel at the company who work on Technology and Sourcing projects. Assist with the preparation and updating of various forms, templates, playbooks and guidelines utilized by the Legal Department with the Technology and Sourcing organizations. Manage and oversee certain legal matters handled by outside counsel. Stay up-to-date on applicable legal issues, trends and developments.
Qualification and Experience
Qualifications: Degree (ideally no less than 2:1 honors) with proven relevant post qualification experience (law firm or in-house). Active, good standing admission or practice certificate. Excellent negotiation and drafting skills. Excellent written/verbal communication and organizational skills. Proactive approach, with the ability to think strategically and creatively in identifying and resolving legal issues. Ability to successfully balance the company\s commercial interests and objectives with identified legal and business risks. Ability to work well as a cross-functional team member and build rapport and trust with both internal customers and external suppliers. Ability to manage multiple projects at once, prioritize deadlines and projects effectively and work independently in a fast-paced environment. Flexibility, versatility and ability to adapt to changing business priorities and strategies. Good understanding of technology, including software-as-a-service (SaaS), platform as a service (PaaS) and data centers. Good understanding of intellectual property (IP) issues that relate to Technology and Sourcing agreements. Good understanding of privacy and information/cybersecurity issues that relate to Technology and Sourcing agreements.
