Corporate - Securities and Capital Markets

Executive Legal Counsel, Securities and Corporate Law Duties: Collaborate with senior leaders on corporate finance and governance matters. Work closely with Corporate Finance, Corporate Communications, Human Resources, Investor Relations, Office of Corporate Secretary and other key functional areas. Assist in preparation of SEC periodic filings, including registration statements, Forms 10-K, 10-Q, and 8-K. Take lead role in preparation of annual proxy statement, Section 16 reporting, compliance with insider trading policy and monitoring disclosure controls. Advise on and ensure compliance with securities-related regulatory matters. Advise on corporate finance matters, including compliance with senior secured credit facilities and high-yield bond indentures. Participate in corporate secretary matters such as board and committee meeting support, including preparation of agendas and meeting materials, resolutions, minutes, and actions by unanimous written consent. Assist in strategic transactions involving mergers, acquisitions and divestitures. Provide oversight of subsidiary corporate management, including entity formation and maintenance. And collaborate with Legal team colleagues on assigned cross-functional initiatives and projects as required.
Qualification and Experience
Qualifications: JD or LLB degree from ABA qualified law school required. Must have 5-7 years’ experience in significant securities (public and private securities offerings, drafting quarterly and annual reports) and general corporate governance matters. Minimum 3+ years’ corporate law experience with an Am Law 100 firm is essential. Experience with secured credit facilities and high yield bond indentures are also highly desirable. Should have knowledge of record retention process.
