ProfileCounsel - Efficient Natural Resources The candidate will be responsible for the delivery of day to day legal services and advice and management of legal and compliance risks across the Natural Resources North American businesses ("Businesses"). Proactively engage with the Businesses to manage legal and compliance risk and lead legal aspects of major multi-disciplinary projects including developing procedures and contract forms. Understand the strategic objectives of the Businesses in order to provide a high quality, pragmatic and focused legal service. Draft, review, negotiate and provide legal advice on a wide variety of agreements and documents including complex commercial transactions, sales/purchase agreements, service agreements, distributor/dealer agreements, contractor terms, real property agreements and various international deals. Ensure all aspects of such commercial arrangements are covered. Implement a wide range of improvement projects within the legal team and within the sector. Counsel small, recently acquired businesses on various legal aspects and group controls, while maintaining entrepreneurial spirit and seeking creative solutions. Manage specialist legal services provided by external firms, such as non-US advice and real property law, settling budgets for advice presented by these firms and managing that legal spend. Provide, manage or coordinate (as appropriate) advice to the Businesses in respect of ethical and compliance matters, working closely with Group Ethics and Compliance. Promote company’s Code of Ethics within the Businesses and an approach to doing business that reflects company’s commitment to doing business ethically, in accordance with its values. Carry out risk assessments within the Businesses to identify, and assess materiality of company’s exposure to contractual and legal compliance risks. Assist in developing and providing legal and compliance training to the Businesses. Work with business partners of various levels of legal and business sophistication. Take on any other duties that are within the employee’s skills and abilities whenever reasonably instructed. Juris Doctorate (J.D.) from an accredited law school and must be a member of a state bar in good standing, Pennsylvania admission ideal required. 5 – 7 years of broad commercial or corporate experience in a leading firm or in industry required. Experience: of dealing hands on with compliance matters; in working in an international environment; of the chemicals and/or precious metals industry preferred. Proven ability to work without close supervision while communicating key activities effectively to senior management required.
