Production Counsel, Live Nation Productions The candidate will be responsible for managing all aspects of day-to-day legal production work for all audio-visual content produced. Negotiate and draft all below-the-line agreements for projects; Negotiate, draft and secure all third-party releases, production clearances and licenses for all projects, including license agreements for the use of third-party content; Advise on levels of risk associated with clearance matters that arise in the areas of copyright, trademark, defamation, invasion of privacy, and right of publicity law; Evaluate chain of title issues and identify legal ownership of archival footage and other materials; Coordinate with risk management team on production insurance requirements and ensure production insurance compliance; Oversee the payments and collections of all clearance and license fees in cooperation with finance team; Manage and maintain all production grids and databases with respect to production legal status and issues in cooperation with the production staff; Oversee and participate in the rendering of fair use opinions, particularly with respect to documentary content; Advise on production-related union/entertainment guild issues and non-union employment law issues; Coordinate with production staff and head of business and legal affairs to manage credits and ensure that credits comply with contractual obligations; Manage and organize the legal delivery of all projects to distributors; Remain up-to-date on relevant film, television and new media production legal issues, customs and practices; and Engage in other tasks as assigned.
Qualification and Experience
Qualifications: JD Degree required and active member in good standing with the California State Bar; 3+ years’ experience providing in-house production legal support to an entertainment company and/or experience serving as outside production counsel to an entertainment company required; Broad-based production legal experience required, particularly in documentary feature films and unscripted television; a background in the production of music-based content is highly desired; Direct experience negotiating and drafting all below-the-line agreements; Direct experience negotiating and drafting agreements with third-parties to license footage and other materials; Direct experience in negotiating and drafting production clearance and release paperwork, including location agreements, venue agreements, depiction releases, materials releases, etc.; An understanding of copyright (including fair use), trademark, defamation, right of privacy/publicity law is required; Experience in some or all of the following areas is highly desired: First Amendment issues, FCC matters, entertainment guilds/union (e.g., SAG-AFTRA, AFofM, DGA, WGA, IATSE), and non-union labor and employment law. Must be able to work proactively, independently and reliably under tight deadlines in a fast-paced environment. Must be able to pivot quickly, think practically and be solution-oriented; Effective problem-solving and organizational skills are required; Must be able to work effectively with people at many different levels inside and outside the company, including senior executives, producers, artists, artists’ representatives, other attorneys, and in-house and outside production staff; and professional and confident demeanor, an upbeat temperament, dynamic personality and highly team-oriented approach to work is required.
