Associate Counsel Duties: Handle a broad range of corporate and transactional matters, with particular emphasis on development of the strategic growth equity investment platform and related deal structuring and execution. Advise on corporate finance matters for the league and teams, team acquisitions, and arena-related transactions. Expertise in the management and execution of complex financial and corporate transactions and documents, working knowledge of tax and accounting principles, coordination with and direction of outside counsel, and extensive dealings with internal and external client groups, including team owners and other personnel. Support internal business units in the development, structuring, and management of growth equity investment platform, including management of outside counsel where appropriate. Assist in the processing of league approvals of ownership transfers of teams and advise buyers and sellers regarding league ownership and debt policies. Help advise teams regarding legal, financial and compliance aspects of new arena construction and renovation. Assist in the management and coordination of the Leaguewide Credit Facility and other league and team-level financing activities. Communicate (in writing and orally) to the General Counsel, Chief Financial Officer, and other senior league staff regarding corporate and financial matters. Advise Finance, Global Strategy and other business departments and teams regarding financial and commercial compliance issues.
Qualification and Experience
Qualifications: JD Degree from a top U.S. law school required. Member of New York Bar. 4 years experience at a top tier firm in the corporate finance and M&A practice areas. Extensive corporate transactional experience at top law firm with particular emphasis on negotiating and drafting complex acquisition agreements for startup and growth equity investments, and managing corporate finance and M&A transactions through closing. Thorough understanding of corporate finance, M&A and general corporate legal principles, and ability to communicate effectively with business clients on these matters. Working knowledge of tax law and principles. Outstanding oral and written communication skills. Working knowledge of accounting principles. Excellent problem solving and issue-spotting skills.
