Assistant General Counsel The candidate will serve as a senior attorney responsible for supporting the Company’s U.S. land fuels division, which includes providing legal guidance and oversight with respect to all legal aspects of the division’s commercial activities. Will work in close cooperation with the land division’s commercial and functional leaders to identify and analyze the company’s exposure to all legal and regulatory risk and to minimize and manage such risk in the context of the company’s existing businesses and prospective business expansion and ventures for the land division. Overseeing all legal aspects of the land division's commercial activities, including transactional matters. Negotiation and drafting of commercial agreements (e.g., fuel sales, supply, transportation and storage agreements). Negotiation and drafting of complex contracts (e.g., strategic alliances). Supporting strategic transactions, such as acquisitions and joint ventures. Advising on regulatory and compliance matters and assisting with design of effective controls to comply with applicable regulations. Advising on commercial disputes and overseeing litigation matters. Developing legal risk mitigation strategies. Controlling and managing legal expenses and management of outside law firms.
Qualification and Experience
The candidate must have JD degree and admission to at least one U.S. State Bar. Should have 7-9 years of legal experience, with 4+ years at a large U.S. law firm and recent experience in-house at a Fortune 500 corporation. Prior experience overseeing legal matters for a subsidiary or division of a large publicly traded U.S. company essential. Oil and gas and/or transportation industry knowledge desirable.
