Senior Counsel The candidate will support intrastate pipeline and midstream gathering and processing commercial activities in Texas and Louisiana (and potentially in other growth areas of the US): negotiate transportation, gathering and processing agreements with shippers; letters of intent; confidentiality agreements and joint venture agreements; negotiation of interconnect and reimbursement agreements for facilities upgrades, and purchase and sale agreements for asset acquisitions or dispositions. Will support various operational activities of gathering and processing business, including the negotiation of operating agreements. Counsel in connection with incident response, emergencies assistance with responses to government agency inquiries or proceedings. Provide support, in coordination with project support counsel in the contract review and negotiation of new project-related entities, related to the midstream gathering & processing business in Texas and Louisiana (and potentially in other growth areas of the US). Assist with corporate governance and general legal support of possible gathering and processing joint ventures. Provide support, in coordination with dedicated litigation counsel, on certain litigation matters arising in the gathering and processing business in Texas and Louisiana (and potentially in other growth areas of the US).
Qualification and Experience
The candidate should have a J.D. degree from an accredited law school. Must have 5-7 years of experience as counsel. Law firm experience in the energy pipeline commercial transactions practice area is ideal. Should have strong commercial transactions background. Pipeline industry experience is preferred. Some state (e.g. Texas and LA regulatory agencies applicable to intrastate pipelines, gathering and processing) and FERC-regulated pipeline experience is helpful (e.g. FERC Section 311(a)(2) regulations applicable to intrastate transmission pipelines). Joint venture experience and in-house experience would be assets.
