Lead Counsel Duties: Provide support for all legal activities to the Global Oil Marketing and North American Gas Marketing (NAGM) businesses. Develop particular areas of focus, the lawyer could be called upon to support additional areas of practice as needs arise. Other areas supported include Contracts & Procurement, compliance and governance, and regulatory. Provide legal support to the Global Oil Marketing and NAGM businesses on transactional matters. Structure, negotiate and draft a variety of legal agreements relating to commodity sales and purchases, financial trading, and credit arrangements. Effectively manage outside counsel to provide cost effective legal support (while significant matters usually involve outside counsel, the position holder is expected to draft and negotiate other agreements without external support). Identify legal risks to the delivery of the business plan and provide strategic advice to the business to help manage these risks. Provide timely advice on material issues and developments to senior legal management. Manage ethical conduct risks that arise within the business. Interface with BG compliance experts in BG’s UK headquarters and elsewhere; and develop expertise in and provide sound advice on BG’s internal controls framework with an empahsis on the transaction approval process, financial authorities, the VAF and the AFS Standard. Support a range of transactions within the Global Oil Trading and NAGM businesses, a candidate with broad exposure across oil and gas matters is preferred.
Qualification and Experience
Qualifications: A US qualified lawyer with experience in a major international law firm and/or the legal department of a major international oil and gas company. Preferred experience includes: Negotiating and drafting agreements relating to oil trading, including joint operating agreements, lifting agreements, and special exceptions to general terms and conditions for cross-border spot and term purchases and sales of crude oil and products (eg, Statoil 2011, BP 2000 and 2007, Conoco 1993 with STUSCO 2009 and 2012 amendments and Phillips 66 1997); Strong understanding of master trading documents for commodities such as ISDA and NAESB documents; Negotiating pipeline capacity agreements, natural gas intercompany transfer agreements, natural gas asset management agreements, transaction confirmations, transportation services agreements and bespoke gas purchase, sales and management agreements; Structuring, negotiating, and drafting credit arrangements, including parent company guarantees, payment undertakings, letters of credit and financial ISDA schedules and CSAs; Knowledge of FERC regulations, the FCPA, and UK Bribery Act. Supporting corporate functions such as Compliance and Contracts & Procurement. Providing direct legal advice to clients/working with a high degree of independence. Closing Date: December 21, 2014
