Senior Legal Counsel The candidate will have significant opportunity to interface and coordinate with management in Corporate/Business Development, Operations, Land, and outside counsel. Will prepare and negotiate upstream commercial transaction documents, including purchase and sale agreements, joint venture agreements, farm-in/farm-out agreements, joint operating agreements, participation agreements, and exploration and development agreements. Prepare and negotiate midstream commercial transaction documents, including crude and/or gas gathering, transportation and processing agreements, precedent agreements, throughput agreements, and NAESB contracts. Advise and participate in the review of significant oil and gas legal matters, including title disputes, lease and royalty disputes, contract disputes, and other pre-litigation matters. Provide advice to company operating divisions and other departments, including corporate development, marketing, land, and land administration. Should have a J.D. degree with a strong academic record from an accredited US law school, and licensed in the State of Texas. Must have 4-8 years of energy sector experience (upstream and some midstream experience preferred) at a top-tier law firm and/or in-house legal department with an E&P operator.
