ProfileManaging Attorney Employee Benefits The candidate will oversee company legal activities and functions related to legal support for Employee Benefits. Will provide legal advice to senior management, internal benefits, administration team, Benefits plan Sponsor Committee and Benefit Plan Administration Committee on matters including to: Defined benefit, retirement plans, Defined contribution,401(k), and profit sharing plans, Executive Compensation issues, including non-qualified deferred compensation and equity compensation programs, Health and Welfare Plans, Fringe benefits and payroll practices, Fiduciary compliance, plan investments and prohibited transactions. Legal compliance (ERISA, IRC,SEC, NYSE,COBRA, and HIPAA). Handle litigation, and agency (DOL, IRS, PBGC) proceedings involving benefits issues by overseeing outside counsel. Supervise outside counsel to ensure appropriate handling of matters assigned and monitor billings and costs. Support due diligence, negotiation, and implementation of M&A transactions. Draft and amend plans, summary plan descriptions, summary of material modifications. Draft and review participant communications and benefit summaries. Review and negotiate contracts for service providers. Legal research. Review and comment on SEC, IRS, DOL and other government filings. Participate in annual benefit plan audit process. Prepare leaders for committee meetings and presentations. Advise on benefits appeals and draft administrator responses. Train Benefits department as necessary on legal issues to consider in business decisions. Consistently meet deadlines and deliver high-quality work product. Report to VP-Human Resources (who previously held role) , but will work closely with legal department. Regular and reliable attendance is required in performance of job.
Qualification and Experience
The candidate should have Bachelor’s degree and Juris Doctorate with current CLE compliance plus law practice experience. Strong experience in legal practice including matters 4+ years of experience in a law firm or in-house practice dedicated solely to matters involving benefits compliance and administration. Experience in use and function of office equipment including computers and applicable software is essential. Experience and training related to: Benefits law(ERISA, IRC, SEC, NYSE, COBRA, and HIPAA), Legal compliance related to benefits related laws is essential. Business communication skill is essential. Experience in reading and interpreting contracts, statues, regulations, court cases, briefs, letters, memorandum, opinion of counsel, pending legislation, and company policies and procedures is essential. Experience in researching and preparing correspondence, briefs, pleadings, interrogatories, settlement agreements, memorandums, presentations, meeting minutes, resolutions, language for legislation, contracts, litigation reports, and budgets is essential. Experience in negotiating, persuading, advocating, interacting, advising, and communicating effectively is essential. Experience in leading, directing, training, and/or supervising is essential. Should be admitted to practice in Oklahoma, or ability to obtain license within 1 year after hire date.
