Executive Compensation/ERISA/Employee Benefits In-House Attorney Duties: Providing advice and counsel to the Executive Compensation Team within Corporate Human Resources on a wide variety of executive compensation matters including offer letters, separation agreements, ongoing compliance reviews by governmental agencies (Department of Labor, Internal Revenue Service, Securities Exchange Commission) under relevant laws governing various executive plans, including equity and cash incentive plans and programs and excess benefit and deferred compensation plans and arrangements. Drafting equity incentive award agreements under annual incentive programs that comply with plan documents, exchange rules and Tax Code requirements. Drafting amendments, as necessary or advisable, to executive compensation and incentive plans. Drafting amendments/restatements to incentive plans at least every five years to comply with performance metrics requirements under Tax Code Section 162(m). Drafting and counseling on appropriate grant authorization documents required to grant incentive awards under governing incentive plans. Reviewing pre-read material for meetings of the Compensation Committee of the Board of Directors and preparing resolutions for approval of recommended actions.. Attending Compensation Committee meetings and taking/drafting the official meeting minutes. Reviewing and assisting in drafting the Compensation Discussion and Analysis section and Summary Compensation Tables for the annual proxy report. Counseling on conducting risk analysis of compensation incentives as required under the Dodd-Frank Wall Street Reform and Consumer Protection Act. Benefits/ERISA Counseling: Providing advice and counsel to the Corporate Benefits Team within Corporate Human Resources on a wide variety of benefits matters (retirement plans and health and welfare plans) including mergers and acquisitions, claims and appeals and ongoing compliance reviews and filings under relevant governing laws (Employee Retirement Income Security Act (ERISA) and Internal Revenue Code) for ERISA and 409A plans. Reviewing amendments/restatements to benefits plans, annual open enrollment materials, Summary Plan Descriptions, Summaries of Material Modifications, participant communications and other legal documents. Providing advice and counsel in connection with DOL and IRS plan audits. Providing counsel to fiduciary committee responsible for plan administration and committee responsible for plan investments. Providing fiduciary training and updating training materials. Counseling on Affordable Care Act compliance, Health Insurance Portability and Accountability Act (HIPAA) compliance and COBRA requirements.

Qualification and Experience

Qualifications: Bachelor’s and JD degree from a top quality, nationally recognized, accredited college or university, preferably in top 25% of graduating class. Must be an active member in good standing of the State Bar. 7 years of relevant experience in a law firm and/or legal department setting. Ability to work well in a fast-paced and dynamic environment, which involves handling many tasks simultaneously with minimal supervision and under time pressure. Requires considerable attention to detail and discretion in handling sensitive and confidential information such as executive compensation details. Excellent writing and communication skills and be comfortable communicating regularly with senior executive officers.
