General Counsel Duties: Reporting to the Senior Vice President/Chief Risk Officer. Responsible for protecting the organization’s legal interests and maintaining its operations within the scope established by law. Responsible for ensuring that sound legal advice and best business practices are delivered to both internal clients and relevant outside parties. Provides in-house counsel to executive management and all staff who work with outside counsel. Identifies and analyzes key compliance and legal issues, collaborates with and, where necessary, recruits outside counsel, drafts key documents, presents clear recommendations. Ensures that all members of the organization adhere to and are in compliance with regulatory policy, procedure, and standards as described by the business and required by applicable laws, regulations, policies and guidance. Directs and controls the activities of the staff of the credit union’s Compliance Department. Establishing a compliance agenda, setting goals and objectives, assessing regulatory or litigation risk, analyzing market trends, and budgeting/forecasting. Develops and maintains an effective compliance program, to include: Bank Secrecy Act (BSA), Anti-Money Laundering (AML), Customer Identification Program (CIP) and Office of Foreign Assets Control (OFAC) policies; administration of the CIP Program. Stays abreast of all laws, regulations and other information that affect credit union operations. Analyzes the impact of regulations and litigation and communicates issues and risks. Communicates compliance information (laws, regulations, policies, procedures, employee responsibilities) to appropriate personnel, provides answers to employees or management on compliance questions and ensures adherence. Keeps Senior Management informed of emerging regulatory compliance changes/ issues that can affect the credit union. Facilitates the Compliance Task Force efforts/meetings. Acts as subject matter expert providing input/direction regarding regulatory compliance issues so that correct information is delivered by the Learning Department. Attends and assesses employee training in partnership with Learning Leadership to ensure accuracy of information. Accountable for credit union compliance issues to be appropriately evaluated, investigated and resolved; Conducts follow up on corrective actions to avoid future compliance issues. Prepares responses to regulatory inquiries and NCUA report exceptions. Works closely with Audit Services regarding compliance audits; reviews compliance audits for the purpose of maintaining a complete awareness of the compliance situation. Participates with the research, development and implementation of new products and services for the credit union. Coordinates the design, printing and distribution of required credit union forms, notices and advertising; reviews, revises forms, disclosures and website to ensure all are in compliance with applicable laws and regulations. Maintains appropriate documentation of compliance activities for historical purposes; Assembles and maintains a compliance reference library. Ensures proper reporting of violations or potential violations to duly authorized enforcement agencies as appropriate and/or required. Function as primary liaison with all outside legal counsel. Identify and retain appropriate outside counsel as necessary, to ensure all legal objectives are met. Coordinate legal work and legal bills with all outside counsel (employment law, bankruptcy, contracts, governance, etc.). Willingness to collaborate with, or work under direction of outside counsel as necessary. Advise executives and work alongside staff in strategic business units to facilitate their necessary relationships with outside counsel and contract negotiations with vendors. Facilitate negotiation, drafting, and review of agreements and contracts; working with outside counsel when applicable. Advise executives and appropriate staff of contract developments and status. Research and make recommendations regarding unique legal issues impacting organization based on review of applicable statutes and codes, judicial decisions and advice from specialized practitioners as appropriate. Perform job duties within DSFCU bylaws, regulations, Board of Directors policies, established internal and external service standards and work procedures. Develop and maintain effective knowledge of the credit union’s products and services and complete all required compliance training to include BSA. Manages staff of two (2) employees, including managers, in the Compliance and Legal Services Departments. Is responsible for the overall direction, coordination and evaluation of these business units. Carries out leadership responsibilities in accordance with the organization’s policies and applicable laws. Responsibilities include interviewing, hiring and training employees, planning, assigning and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.

Qualification and Experience

Qualifications: JD Degree, passed the Arizona bar exam. Compliance Certification (e.g. NCCO, CUCE, BSACS). 5 -8 years of experience as a regulatory compliance in-house attorney with demonstrated, working knowledge of financial institution regulatory affairs Computer Skills: To perform this job successfully, an individual should have knowledge of Microsoft Outlook.
