Attorney (AAM) Duties: Oversees asset management for many of Transamerica's insurance and operating companies as well as third party clients. Work with, and report to the AAM General Counsel. Will provide legal services and support to all areas of USA Investment Management, LLC (AUIM). Providing legal services in support of the asset management business of a SEC registered investment advisor, including working closely with portfolio managers, traders and analysts. Researching and providing legal advice with regard to the management of the assets of registered investment companies, insurance companies, institutional investors and ERISA clients. Providing general legal services in support of private placements, alternative investment funds, public trading, problem loans, restructurings and workouts. Providing general legal support to the compliance, custodial, operations, marketing, client services and information technology areas of the company. Drafting legal correspondence, memoranda, position papers, statutory or regulatory provisions, contracts, corporate resolutions and certificates. Researching and providing legal and regulatory counsel regarding new regulatory developments. Assisting with corporate governance matters. Interfacing, communicating and working with business and legal professionals within AEGON, law firms and other institutions.
Qualification and Experience
Qualifications: Bar membership; J.D. Degree with demonstrated, strong law school performance required. 8+ years of related experience within an insurance company, registered investment advisor, registered investment company or law firm. Demonstrated knowledge of the US Investment Advisors Act and regulations and the US Investment Company Act required. Knowledge of CTA and CFTC regulations, and international advisory structures/distribution arrangements highly preferred. A preference is also given to candidates with equity private placements background and experience managing others.
