Director, IT Finance Contracts and Compliance The candidate will be part of the IT Finance organization and has global responsibility for the leadership and overall strategy, direction and execution of the IT Contracts Management function for the company enterprise. Primary duties include direct supplier negotiation for all IT transactions, negotiating contract terms and conditions for complex IT agreements. Duties include directing the overall administration, tracking, and analysis of contracting activity which encompasses an annual spend of $1.2B. In collaboration with the IT Leadership and IT Finance Leadership, define and implement a Global IT contracting management and administration strategy for the company enterprise. Lead and manage a team responsible for negotiating and administering vendor agreements across all categories of products and services to support the company enterprise. In collaboration with the IT Vendor Management team, lead and manage the negotiation and drafting of all Master License Agreements, Service Agreements, Statements of Work and related contractual documentation. Interact directly with senior executives within the Compliance, Risk, Legal, Regulatory and PBM Government programs to insure contracting terms, policies, and process are aligned to and adhere to stakeholder requirements. Support the integration of acquired entities, specifically the analysis and disposition of IT contracts and assets into the company enterprise or designated entity. Direct the implementation of contracts and modifications to accommodate regulatory, legislative, industry or legal changes. Partner with legal, compliance, risk management, internal audit and other stakeholders to ensure compliance with contract standards. Ensure contractual, operational alignment with company IT and corporate standards for Compliance (statutory, regulatory), delivery against business and financial objectives, and adherence to contractual obligations such as Service Level Agreements. Lead and manage internal and vendor-driven escalations, disputes and resolution to issues arising from IT contract relationships. Provide IT leadership with support required to manage, track, measure and monitor the status of all contract negotiations activity. As part of company’s intention to expand operations on a global basis, design and implement the IT contracting practices required to manage procurement operations and vendor relations on a global scale for the enterprise. Provide analysis, documentation and interpretation of contractual rights and obligations internally and externally, ensure that due diligence is practiced in complying with the stated terms and conditions. Direct the Contract Administration function, including aspects of Contract Administration, Document Management, Process Workflows, and Reporting and Compliance requirements. Track, report and communicate status of all internal and external audits related to IT both for financial and non-financial audits as well as vendor audits, e.g. software audits. Develop and Implement education and training content and process to familiarize company executives and colleagues on relevant IT Contracts policies, processes and standards.
Qualification and Experience
The candidate should have Bachelor’s Degree from an accredited four year college or university A legal degree or degree in contract administration, public administration, business management or a closely related field is strongly preferred. Certified Purchasing Manager (C.P.M.) or Certified Public Purchasing Officer (C.P.P.O.), Certified Federal Contracts Manager (CFCM), Certified Professional Contracts Manager (CPCM) designations preferred. Should have 10-12 years of experience drafting and negotiating complex, high-value IT agreements with Fortune 500 companies Experience working in a technology and contracts support environment is required. Must have experience within the Retail and/or Healthcare Industries. Should have deep, demonstrated understanding of the technology market and associated vendors. Experience designing, implementing and maintaining tools required to support business processes is required. Should have demonstrated capability in drafting and negotiating large-scale, highly complex agreements including, but not limited to, offshore application development, software, hardware, professional services, and network, telecom and data center services.
