Counsel 3 The candidate will become a member of the Structured Finance team within the Law Department, providing support to the lines of business which provide asset based lending products across the United States and internationally. Transactions involve all types of secured financing including asset based loans, floor plan financings, receivables purchases and factoring. Will include (i) negotiating and drafting transaction documents, (ii) supporting the capital markets and syndications teams in the acquisition and sale of transactions with other financial institutions, (iii) negotiating and drafting programs with manufacturers, dealers and distributors, (iv) review and providing advice on a wide range of lending transactions, (v) providing general advice to, and cooperating with all functions, including sales, credit, compliance, operations and finance, (vi) assisting with regulatory compliance requirements and management of legal and operational risk, (vii) drafting and updating transactional document templates.
Qualification and Experience
Qualifications: Active State Bar membership. 5+ years of experience as a practicing attorney. desired: Ability to analyze legal issues in substantive law in area of practice and provide effective advice to clients on complex legal matters. Extensive knowledge and understanding of research, counsel, and guidance on complex legal questions or inquiries. Strong attention to detail and accuracy skills. Excellent verbal, written, and interpersonal communication skills. Effective organizational, multi tasking, and prioritizing skills. Ability to be flexible and adaptable to changing priorities and deadlines. Substantive experience handling asset based lending transactions. Deadline: January 23, 2017
