ProfileManager Counsel - Corporate Advisory Securities and Transactions The candidate will be responsible for executing on a broad range of derivatives and trading transactions in support of the Company’s capital markets funding and balance sheet management initiatives. Duties: Drafting and negotiating ISDAs, MSFTAs, MRAs/GMRAs, MMDAs, and a variety of other derivatives or funding-related contracts; Providing legal advice to company’s Investment Portfolio team and other internal stakeholders regarding ongoing legal interpretations of existing contracts and related changes in laws, regulations and guidance; Working with Legal colleagues to provide support for broader strategic initiatives related to derivatives matters; Supporting company’s Investment Portfolio and Capital Markets processes for transaction execution, file management, deal flow tracking, and due diligence; Managing and coordinating outside counsel, when necessary; Implementing and monitoring repeatable, controlled processes for transactional work; Ability to handle novel issues and manage multiple competing priorities on a short- and long-term basis is critical. Juris Doctorate (J.D.) with admission to at least one state bar and 3+ years of law firm or in-house legal department work experience, with primary focus on derivatives and trading matters required. 4+ years of experience in law firm or in-house legal department or other work setting focused on derivatives or capital markets funding transactional work including 2+ years of experience in derivatives matters, particularly ISDAs preferred. Familiarity with laws and regulations applicable to derivatives and funding transactions preferred. Excellent verbal and written communication skills required. Strong analytical and organizational skills required.
