ProfileCorporate Counsel The candidate will assist in-house legal team with complex corporate transactional work in a fast-paced, midsized technology firm traded on the NASDAQ Stock Market. Preference will be given to candidates with experience with SEC reporting, securities law, data security and privacy compliance, corporate governance and contract management. Strong writing skills and demonstrated organizational excellence required. Advise on legal issues related to corporate business practices and support compliance efforts activities out of our Salt Lake City, Utah location. Specifically, the corporate counsel will: Provide business-oriented compliance and legal support in the following areas: SEC reporting and filing, including Form 4s; Data security and information technology; Privacy; Corporate governance; Securities; Licensing; Employment; Organize and manage internal contract review, negotiation and administration. Conduct factual research and legal due diligence related to large transactions, including mergers and acquisitions. Manage litigation, including with outside counsel as necessary. Licensed Attorney, qualified to practice in-house in the state and JD from a top tier law school required. Certification in data privacy or security preferred. 2-4 years of corporate legal experience focusing on corporate transactional work, preferably including SEC reporting and/or data security compliance required. Experience with major law firm or in-house legal team at a U.S. public company is required. Proven analytical ability and research skills and strong interpersonal skills and demonstrated ability to work well with others required. Superior written and verbal communication abilities required. Experience researching matters using the EDGAR database of the U.S. Securities and Exchange Commission is preferred.
