Qualification and Experience
Qualifications: Law Degree/JD Degree from an accredited law school and admitted to practice in the State of New York. Must be admitted to practice in New York. 5+ years' experience with complex securities products. Particular experience with indices and derivatives is very helpful. Must be able to work independently with clients and interact with legal colleagues from all kinds of disciplines, e.g., Tax, IP, Regulatory, etc. Should be comfortable identifying and articulating legal risks associated with transactional structures. Frequent interaction with Compliance, Risk and other control functions is expected. A securities and/or derivatives lawyer with 5+ years' experience in complex securities/derivatives products with a corporate law department or law practice. Experience with securities linked to other securities and indices is helpful; experience with the construction of indices is a definite advantage. Solid knowledge of the US securities laws applicable to private and public offerings of structured securities. Knowledge of Investment Company Act and Investment and Investment Advisers Act would be helpful. Extensive experience with shelf offerings and/or SEC registered securities offerings is preferable. Knowledge of derivatives or derivative products across asset classes is very helpful. Ability to develop and maintain internal and external client relationships. Extensive experience preparing legal documentation.
