ProfileLegal- Assistant General Counsel- Structured Investments Legal Group- VP Duties: Communicate legal and regulatory changes to the businesses and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the legal teams in a timely manner. Serve as a Vice President in the Structured Investments Legal Group within Equities/Broker Dealer N.A. group in Corporate & Investment Bank Legal Department. Work with Document Specialists who execute flow transactions. Qill be responsible for various issuance platforms. Will work with the business and other internal groups on automation processes.
Qualification and Experience
Qualifications: Law Degree/JD Degree from an accredited law school and admitted to practice in the State of New York. Must be admitted to practice in New York. Must be licensed to practice law and a member in good standing in in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction. 5+ years' experience with securities transactions. A securities and/or structured products lawyer with 5+ years experience in securities/derivatives products with a corporate law department or law practice. Particular experience with structured products is very helpful. Must be able to work independently with clients and interact with legal colleagues from all kinds of disciplines, e.g., Tax, IP, Regulatory, etc. Candidates should be comfortable identifying and articulating legal risks associated with transactional structures. Frequent interaction with Compliance, Risk and other control functions is expected. Extensive experience preparing legal documentation. A solid knowledge of the US securities laws applicable to private and public offerings of structured securities is required. Experience with Reg S shelf offerings, CD platforms and SEC registered securities offerings is preferred. Knowledge of derivatives or derivative products across asset classes is very helpful. Experience with securities linked to other securities and indices is helpful; experience with the construction of indices is not required but is a definite advantage. Ability to develop and maintain internal and external client relationships.
