Corporate Paralegal The candidate will be a key member of the Legal Department and will be responsible for day-to-day assistance of the Legal Department and the business in general, focusing on various legal topics spanning from corporate governance matters to consumer and contract law, in both local and international jurisdictions. Under attorney supervision, the primary responsibilities of the Corporate & Legal Operations Paralegal include providing assistance to attorneys and other legal professionals in support of Legal matters. Assist the Company's legal department in managing all aspects of its corporate practice, including the coordination of, and preparation for, board meetings, support for merger and acquisition transactions, maintenance of corporate records, and compliance with corporate governance requirements and policies. Interface directly and daily with legal counsel and leadership and management teams in connection with corporate transactions and operations-related agreements. Act as a liaison with designated outside counsel and their paralegal staff. Track hourly charges from outside counsel and level of outside counsel expertise on legal projects. Provide due diligence support and data room management in connection with corporate initiatives and strategic transactions. Draft and vet various types of operational legal documents, such as non-disclosure agreements, and commercial agreements including, procurement, sales, licensing and other agreements. Interface directly with business units and attorneys to facilitate legal review and advice to assist business management in making legally sound business decisions, especially around online marketing and consumer law. Create training toolkits and delivering training to the business on relevant processes. Research and draft legal memos on various legal topics. Maintain and update records, forms and other documentation, and supporting legal document repository management and maintenance. Work collaboratively with a highly-motivated team within a fast-paced company. B.A. or equivalent experience and 5+ years of paralegal experience required. Flexibility and willingness to work on a broad variety of legal matters and excellent organizational skills required. Excellent interpersonal skills and advanced proficiency with Microsoft Office Suite (Excel, MS Word, MS PowerPoint, and SharePoint); must be extremely comfortable with and embrace technology required. Excellent written and oral communication skills required. Project management skills preferred. Spoken and written foreign language and corporate and international experience preferred.
