Transactional Attorney The candidate will draft and review shareholder consents and board resolutions, merger agreements, distribution agreements, contribution agreements merger agreements and ancillary agreements necessary to effect mergers. Will review legal entity organizational documents (e.g., certificates of incorporation, bylaws, etc.). File certificates of dissolution, merger, etc. in various jurisdictions and identify/resolve legal issues arising in connection with such eliminations. Ensure that eliminations occur in compliance with applicable law. Must have active NY Bar admission. Should have 7+ years of corporate transactional experience. Experience drafting ’34 Act filings, including 10-K, 10Q, and proxy statements is needed. Experience with corporate governance work (i.e. committee charters and resolutions) is required. Experience supporting multi-functional deal teams within clients, including corporate and business development , finance, sales, human resources, and legal is must. Mergers and acquisitions experience, including evaluating, structuring, and executing on acquisition transactions is essential. Experience managing due diligence activities (e.g., reviewed liabilities and material contracts of target acquisitions) is necessary.
