DGC Mergers and Acquisition/Strategic Transactions The candidate will be responsible for articulating process/frameworks for execution of M&A/strategic investments. Will identify and analyze legal issues and provide appropriate legal guidance and counsel to executive management relating to strategic transactions, including all associated securities and other required state and federal regulatory filings and approvals. Select, retain, manage, and evaluate outside counsel for strategic transactions; identify opportunities for form agreements and position guidelines for efficient legal transaction evaluation. Lead transaction negotiations, due diligence, closing regulatory filings and post-acquisition legal integration. Evaluate and weigh multiple and potentially competing business inputs and impacts as they relate to specific transactions. Anticipate, evaluate and mitigate legal risks and identify proactive solutions. Collaborates with relevant subject matter experts in the legal department and business to optimize the M&A concepts. Responsible for providing employees timely, candid and constructive performance feedback; developing employees to their fullest potential and provide challenging opportunities that enhance employee career growth; developing the appropriate talent pool to ensure adequate bench strength and succession planning; recognizing and rewarding employees for accomplishments. Supports the Chief Legal Officer and Board Secretary in the development of the strategic transactions legal strategy of the organization and assists in its implementation with associated responsibility for providing legal support and advice to the strategic transaction professionals of the Bank. Responsible and accountable for risk assessment by openly exchanging ideas and opinions, elevating concerns, and personally following policies and procedures as defined.

Qualification and Experience

The candidate must have 15+ years of legal experience. J.D. Degree required. Must have Admission to a state Bar. Required experience either in a law firm and/or public company in mergers & acquisitions, joint ventures and strategic investments. EVP, Chief Strategy Group is the primary client. Financial services M&A /investment experience preferred. Substantive legal knowledge is focused on M&A and federal securities laws is required. Working knowledge of corporate finance, secured lending, tax, environmental law, employment and labor law, executive compensation and benefits, real estate, antitrust, intellectual property, and anti-corruption as they relate to strategic transactionsinthe financial services industry is required.
