Senior Counsel Duties: Preparing and reviewing vendor and partner arrangements; Advising internal business clients on strategies to address client needs; Developing, maintaining and monitoring procedures to ensure compliance with all applicable federal, state and local laws and regulations Managing external counsel activities; Conduct and coordinate research into a variety of issues; Assisting with securities and corporate activities of a pre-IPO Company; Other duties as assigned Analyze complex transactions between TBD. Provide day to day legal counseling on operational and transactional matters. Negotiate miscellaneous contracts between clients Work with other internal legal counsel in analyzing complex transactions and to identify legal issues with cross-divisional impact Conduct privileged investigations and train internal business clients as assigned by supervisor. Providing legal advice on the full spectrum of plan, hospital, and provider contracting issues across the enterprise, with special emphasis on Medicare Advantage and risk contracting. Regularly reviewing and updating best demonstrated practices (BDPs) and execution of process improvements to better align and anticipate changing healthcare reform laws and regulations, including future reimbursement programs. Drafting, reviewing, analyzing, negotiating and implementing payor, hospital, and provider templates, agreements and memoranda. Managing and overseeing outside counsel, including negotiation of preferred provider and alternative fee arrangements. Drive the continuous improvement of standard form agreements and legal processes. Perform multiple, time-sensitive projects in a fast-paced environment. Develop and ensure compliance with internal contract review process. Provide strong leadership and legal expertise to teams.
Qualification and Experience
Qualifications: Admission or eligibility to be admitted to the Missouri Bar; 8+ years' experience in corporate health care transactions, including mergers and acquisitions in a law firm or in-house setting, as well as a Juris Doctorate degree from an accredited law school; Solid understanding of Stark, Anti-Kickback laws, Corporate Practice of Medicine and Anti-trust issues facing health care transactions, as well as exposure to securities Law; Demonstrated ability to collaborate with various internal and external stakeholders; Excellent time management and leadership skills; Strong Communication skills and the capability to communicate effectively through all levels of the organization; Ability to remain flexible in a fast paced, growth environment; Corporate counsel experience beneficial.
