In-House Corporate Counsel, Vice President The candidate will support firm's North American investment management business. Will work on providing legal advice and consultation on a variety of issues relating to firm's Institutional businesses responsibilities. Providing legal advice and consultation, focusing on a variety of legal issues relating to investment vehicles and asset management services. Drafting and negotiating investment management agreements, guidelines and other agreements with clients, financial institutions, consultants, plan fiduciaries and investment advisers. Managing a variety of projects and relationships with various legal and compliance colleagues and internal business clients throughout the firm. Researching and advising on contractual, securities law, banking law, trading and portfolio management issues. Updating disclosure documents.
Qualification and Experience
The candidate should have JD degree with superior academic credentials from a nationally-recognized law school and 3-6 years' experience as a lawyer in a major law firm or in the legal department of a leading financial services organization. Should have some experience with the U.S. Federal securities laws (preferably the Investment Advisers Act and/or the Investment Company Act) and/or general U.S. corporate law. Should have some experience with negotiating investment management or similar agreements with institutional investors. Must have exceptional analytical, written and verbal communication skills. Must have strong inter-personal and relationship-building skills. Familiarity with OCC Regulation 9 and other banking law applicable to investment managers is helpful. Familiarity with ERISA’s prohibited transaction rules and other provisions applicable to investment managers is helpful.
