Associate General Counsel The candidate will report directly to the General Counsel. Will have responsibility for several substantive areas, including corporate governance, SEC reporting, and SEC and NYSE compliance, as well as oversight over the company's strategic intellectual property efforts and substantial involvement business development and commercial activity. Lead the company's corporate governance efforts. Working with the General Counsel, lead the company's public-company governance efforts, including serving as its Assistant Corporate Secretary. Liaise with the company's Board of Directors and management in the preparation of meeting and follow-up materials. Lead the company's public-company reporting and compliance efforts, including SEC reporting and SEC and NYSE compliance. Oversee the company's strategic intellectual property efforts, including patent and trademark management, licensing and marketing activities. Manage internal resources in this area. Work closely with business leaders and the company's Strategy and Finance teams on matters of strategic importance to the company, such as merger and acquisitions, corporate financings and restructuring, and general commercial opportunities. Provide legal advice and support to the General Counsel, senior management, and various departments and functions across the company. Manage the company's outside counsel in his or her areas of responsibility. Should have a J.D. degree from an accredited US law school, with a strong academic background. Must have 10+ years of broad-based legal experience to include corporate governance and SEC reporting experience in a senior position in a public company legal department or a top-tier national law firm. Should be licensed in good standing to practice law in at least one US state. Some domestic and international travel is required.
