Director & Senior Corporate Counsel This candidate will provide legal support to LexisNexis Legal & Professional technology and content businesses in North America. Ideal for a transactional generalist, but with solid experience in software, cloud and services agreements. Responsible for drafting, reviewing and negotiating a broad array of complex technology contracts and services agreements, including cloud, cloud/software hybrid offerings, OEM, consulting and technical services, software licensing and procurement agreements, for customers, strategic and vendor relationships. Advises internal stakeholders on a variety of legal and business issues relating to its contracts, business strategies, governance policies and all aspects of intellectual property licensing, distribution and competition (including channel) and contract law, in connection with both inbound and outbound relationships, and on legal and regulatory issues related to advertising and marketing, antitrust/competition, privacy, data security, internet, content licensing, digital, social media, and e-commerce laws pertinent to launching new products and services and promoting existing products. Legal support will include close collaboration with business executives and personnel at all levels in effort to negotiate, draft, and complete complex cloud and other technology agreements, including non-standard and strategically-critical agreements. Expertise in drafting, structuring and negotiating reseller, joint marketing, referral and other distribution arrangements, and establishment and operation of related programs. Offers creative solutions to help resolve business issues and eliminate blockers. Requires outstanding communication and drafting skills, deep commercial knowledge and a demonstrated ability to work in a collaborative environment. Partners with and supports clients to achieve business objectives, enable profitable growth and mitigate risk in a legal, ethical, efficient and commercially practical manner. Advises on regulatory compliance matters, including marketing and advertising laws, anti-bribery laws, FCPA, export restrictions, and more, including in coordination with the LexisNexis global compliance team, as applicable. Coordinates advice from subject matter experts. Provides training to internal stakeholders. May coordinate litigation and other legal, administrative or investigative actions handled by outside counsel. Assures adherence to governance policies, ethics, government and regulatory compliance, and country-specific laws and regulations. Demonstrated high level of interpersonal skills to handle sensitive and confidential situations, remained poised under pressure, and ability to work proactively with cross-functional, non-lawyer business partners, including product management, sales, marketing, engineering, finance, and customer support teams in supporting the development, delivery and commercialization of products.
Qualification and Experience
Qualifications: JD Degree from an accredited law school. Licensed to practice law in the U.S. and in good standing with the applicable state Bar. 7+ years technology transactions experience, in a corporate or well-regarded law firm environment. Ability to work in a strong team environment, utilizing excellent judgment and decision-making skills. Demonstrated outstanding oral and written communications skills and legal counseling experience, including substantial experience in negotiations. Well-organized and able to work under pressure in a fast-paced environment and have substantial experience working directly with non-lawyer business partners and sales teams, and with potential adversaries. Must exhibit a high degree of initiative in adapting to changing priorities and organizational needs, managing multiple priorities simultaneously in a detail-oriented work environment. Preferred: Interest in, and general understanding of, computer/electronics technologies, including SaaS solutions, software, mobile apps, databases, digital services and client/server concepts. Ability or willingness to identify and support continuous improvement projects to improve legal department efficiency, throughput, and enhance value. Experience working in a multi-national corporation, a publicly-held company, and/or public sector contracting experience will be viewed favourably.
