ProfileCorporate Counsel II, Performance Services Duties: Working under the supervision of the VP-Legal Services, will be primarily responsible for providing legal advice, guidance and support to Premier’s performance services business units, and as necessary or desired, various other business units. Works independently on complex legal matters with little or no direction and assumes ownership of all assignments. Will design, draft, review and negotiate complex agreements across multiple areas of business, including software agreements, data licensure, research operations, IRB documentation and supply chain services, and data licensing. Responsibility include negotiates and approves supplier, data license, consulting and related agreements. Will also assist with related acquisition integration matters. Will interact with Premier members, vendors, regulatory agencies and with outside counsel on assigned matters. Draft, negotiate, review, and approve contracts and amendments prior to execution by management. Provide counsel to business unit leadership with respect to contractual and regulatory issues. Research legal issues and keep current with case law and court opinions. Assist General Counsel and Sr. Corporate Counsel with transactional matters, special projects and governmental/media relations matters as needed. Coordinate risk management and litigation issues with outside counsel. Respond to inquiries from Premier Members. Training sessions on relevant legal matters, monitoring current legal developments related to areas of responsibility as assigned by the General Counsel. Requires working collaboratively with various business teams and senior management and providing legal guidance that is clear and actionable in a time sensitive manner.
Qualification and Experience
Qualifications: JD Degree required. Law degree with strong academic credentials; top 25% of class preferred Transactional experience/contract law preferred. Active member of a state bar - North Carolina bar member. 6+ years of relevant experience required; 10+ years preferred. Transactional experience supporting a healthcare, consulting, software or data company. Healthcare transactional experience representing providers and/or life sciences companies. In-house legal counsel. Experience with data privacy and HIPAA matters. Compliance support and services including the drafting and negotiation of business associate agreements. Knowledge of contract Law. Knowledge of law pertaining to data privacy and HIPAA regulations. Ability to articulate legal concepts, contract concerns and recommendations to individuals with limited legal knowledge. Detail orientation necessary to draft, interpret and edit lengthy and complex legal documents. Self-assured and confident in a variety of settings with a strong belief in own capabilities. Strong organizational skills, sound judgment, and the ability to work well with people of various backgrounds, including clinicians (nurses, physicians), attorneys and representatives of large corporations. Ability to respond to legal inquiries of limited complexity from members. Desire to work in a corporate setting. Excellent analytical, written, verbal and interpersonal skills. Experience with SaaS agreements, privacy, security, compliance, and regulatory matters required.
