Commercial Counsel The candidate will report directly to the General Counsel and focus primarily on procurement and customer deals with a broad range of responsibilities. Will be responsible for leading more effective and efficient commercial contracting, working closely with Sales and Procurement. The role is global in scope and charged with helping to significantly improve through-put of commercial contracts and reduce cycle time while managing risks smartly. Partner with Sales team and other relevant internal clients to review, negotiate and draft outbound SaaS agreements and associated professional services, as well as deal-related NDAs, RFPs, evaluation agreements, SOWs and other miscellaneous agreements. Counsel the Sales team and other internal clients about legal policies and processes with regard to commercial contracts. Provide training to business/sales personnel and contracts managers. Draft and update customer contract templates, and collaborate with Legal Ops Director to improve outbound contracting processes and policies. Team with internal partners to review, negotiate and draft a wide variety and high volume of procurement agreements (e.g., professional services, SaaS, marketing, hardware and event contracts), as well as related NDAs. Partner with Procurement to formulate policies, processes, and playbooks on procurement matters. Counsel various teams on the relevant issues and risks, and participating in internal training efforts. A seasoned attorney who can draft, negotiate and manage a wide variety of inbound and outbound commercial technology transactions in an extremely fast-paced environment required. J.D. from a top law school with exceptional academic credentials and 8-12 years of relevant technology transactions experience, with a focus on drafting and negotiating complex technology transaction and related professional services contracts, preferably in a SaaS company required. Deep experience partnering with and providing support to Sales and/or Procurement teams required. Experience collaborating with cross-functional and cross-geographic teams in a corporate environment required. Substantial experience at a fast-growing, entrepreneurial technology company required. Ability: to communicate effectively and defend positions; to work with ambiguity and synthesize solutions with imperfect set of facts; to prioritize, meet deadlines and be effective under pressure in a fast-paced environment with a high volume of transactions for multiple departments; to own and resolve problems, and to expeditiously provide legally sound recommendations consistent with good business practices and common sense, and to build relationships and influence cross-functionally required.
