ProfileGeneral Counsel The candidate’s primary focus of the role is to provide direct legal support on corporate governance, Board of Directors and Board committee functions, contracts, compliance matters (including HIPAA, privacy, data protection, etc.), securities law, complex corporate transactions including mergers and acquisitions, IP, insurance and employment law matters, physician contracts and corporate joint ventures. Reporting to the CEO, this role is located in company’s corporate HQ and partners closely with the executive leadership team to provide expert legal counseling and advice. Oversee all matters related to public company reporting, regulatory and legal compliance issues, with an excellent understanding of major federal laws, applicable state laws and related regulations that govern the healthcare/medical devices industry. Manage the operation of Board committees in cooperation with other members of the executive team. Oversee all matters related to protection, defense and any required litigation of Intellectual Property. Responsible for management of all legal affairs, including external counsel, and serve as liaison to the Board and executives of the company, ensuring effectiveness and cost control. Participate in the development and drafting of responses to inquiries and investigations with external regulatory bodies as needed. Provide overall leadership and management of all corporate, employment and commercial legal matters, facilitating strategically important company initiatives. Oversee drafting, review and implementation of complex legal contracts and statements of work. Manage external disputes and litigation. Assist HR, internal audit and compliance departments in investigations where required. Manage legal staff. A J.D. from an accredited law school and 15+ years of legal experience, with 5+ years of experience in the General Counsel role required. Ideal candidate will have healthcare/medical device experience required. Excellent teaming and collaboration skills and ability to work cross functionally in a highly mission driven culture required. Strong interpersonal skills, including the ability to positively influence outcomes and become an advisor on all regulatory and legal matters required. Excellent verbal and written communication and presentation skills; must be able to communicate effectively across all levels, providing counsel to the Board as well as executives and management staff required. Strong leadership skills and role model an exceptional work ethic for the company required. Excellent analytical skills to interpret data and business issues to provide effective legal analysis to company’s management team required.
