ProfileCorporate Counsel – Securities, Governance and Finance Responsibilities: A member of the Hertz Law Department and its Corporate practice group, reporting to an Assistant General Counsel. Assisting with the preparation and review of SEC and NYSE reporting and compliance, including periodic reports, proxy statements and Section 16 filings. Providing deal support for corporate finance transactions, including drafting, negotiating and closing of capital markets transactions, and other Treasury related legal matters. Advising on corporate governance matters, including drafting resolutions, preparing board and committee meeting materials and agendas and maintaining corporate records. Counseling on M&A and strategic transactions (e.g. negotiate non-disclosure agreements, letters of intent and other deal related agreements and manage the due diligence process). Assisting in managing the company’s trademark portfolio and working with outside counsel in advising on trademark related issues.. Advising our franchise business team, including preparation of franchise disclosure. Providing deal support for securitizations, debt offerings and other capital market transactions. Negotiation of commercial agreements, such as service and supply agreements.
Qualification and Experience
Requirements: J.D. with strong academic credentials. Required to be admitted to the bar and in good standing in Florida, or admitted to the bar and in good standing in another state and eligible for limited licensure of in-house counsel in Florida. 2+ years of experience as a practicing attorney with a corporate in-house legal department and/or private law firm. Strong interpersonal skills, including an ability to lead through collaboration. A strong work ethic and a proven ability to meet deadlines on multiple projects simultaneously. Ability to operate in fast-paced environment with a very high level of autonomy. Ability to read, write, and fluently speak and understand the English language. Excellent PC skills, including proficiency with Microsoft Office Suite programs. Preferred : Be strategic and analytical. Give solid, practical advice that can be understood and used in a fast-paced business environment. Assume significant responsibility and solve problems without prompting. Have superior written and verbal communication skills.
