Corporate Counsel Duties: Corporate Counsel I: Primary responsibility for specified area or areas, ability to perform tasks in primary responsibility area(s) accurately and efficiently with minimal day-to-day supervision by more senior lawyer. Responsible for drafting and negotiating legal documents. Responsible for researching and analyzing legal issues and applying them to specific factual situations; able to solve problems by identifying multiple alternatives and using professional judgment to select best alternative. Responsible for supporting and advising internal clients in a proactive, responsive fashion demonstrating good legal and business judgment. Responsible for executing on company and departmental strategies and initiatives. Corporate Counsel II: Primary responsibility for specified areas (e.g., contracts, real estate, M&A, etc.), ability to oversee and perform tasks in responsibility areas independently and with strategic oversight only; able to apply in-depth specialty knowledge within responsibility areas. Responsible for drafting and negotiating complex legal documents within primary areas of responsibility using application and integration of analytical skills, creativity and sound business and legal judgment. Responsible for day-to-day oversight of outside counsel (responsible for establishing budgets, accountable for maintaining fees within budget, responsible for reviewing and approving invoices). Responsible for identifying, creating and providing training and coaching to internal clients as needed on areas of expertise; acting as trusted advisor to internal clients. As needed, responsible for advising and presenting to company management, with demonstrated ability to clearly and concisely convey information and provide practical recommendations, while adapting communication mode/style to accommodate diverse audiences. Responsible for identifying and implementing continuous refinements and improvements to various legal processes and procedures. As directed, responsible for proactively and independently leading projects effectively and to completion; ability to impact business performance and operational efficiency through delivery of results. As assigned, responsible for management and supervision of other legal staff. Corporate Counsel III: Demonstrated mastery of all Corporate Counsel II responsibilities/skills. Acts as technical or functional authority within the company with respect to area(s) of expertise; responsible for remaining up to date on changes in laws/regulations affecting areas of expertise. Responsible for applying expertise to proactively and independently manage projects or relationships critical to the company; responsible for developing innovating approaches to support the company’s long-term business goals. Responsible for developing solutions and independently executing strategies in complicated or novel situations. Responsible for acting as an advisor/mentor to other team members; responsible for backing up other team members as necessary. Senior Corporate Counsel: Demonstrated mastery of all Corporate Counsel II responsibilities/skills – Corporate Counsel III NOT a requirement to advance to Senior Corporate Counsel. Responsible for advising senior management on legal and regulatory matters, with demonstrated ability to provide strategic, business-focused advice, demonstrating a comprehensive understanding of the company’s business including market position and financial structure. Supervisory responsibility (or at a minimum, proficiency) in all areas of corporate law relevant to the company’s business, including without limitation corporate governance, SEC compliance, M&A, employment law, litigation, healthcare regulatory, intellectual property, real estate, customer contracts, etc. As assigned, responsible for management and supervision of other legal staff. Qualification and Experience

Qualifications:
Corporate Counsel I: Bachelor’s Degree required. JD Degree from accredited law school required. Admitted to practice law in Minnesota required.
Corporate Counsel II: 5-7 years’ legal practice in either a law firm (preferred) or corporate legal department setting
Corporate Counsel III: 8-10 years’ legal practice in either a law firm (preferred) or corporate legal department setting
Senior Corporate Counsel: 8-10 years’ legal practice in either a law firm (preferred) or corporate legal department setting
Excellent writing and communication skills. Proficient with all standard office software (Microsoft Outlook, Word, Excel, Power Point, etc.). Accountable for deadlines and strong attention to detail. Strong analytical and problem solving skills and demonstrated sound judgment. Flexible and proactive team player; able to create and maintain strong and stable working relationships within the department and across the company.
