ProfileCorporate Counsel The candidate will provide guidance and leadership in corporate legal matters supporting state and local government and higher education business. Must have a JD Degree and is an active member of the state Bar in good standing. Must have significant transactional experience in drafting and negotiating consulting services agreements, statements of work, subcontracts, non-disclosure and teaming agreements, software licenses and other transactional documents between customers and suppliers. 3 years of legal experience in a business environment or law firm with focus on contracts in technology-related professional and consulting services and product sales. Experience providing contracts support for consulting services, hardware and software sales for a reseller or manufacturer that provides products and services to federal, state and local government and commercial customers. Very strong knowledge regarding the body of law applicable to the business of the company, including commercial contracts, intellectual property, technology transactions, licensing agreements, and government contracts. Ability to apply knowledge of the business to an appreciation of financial issues and profit and loss implications. Excellent analytical, problem solving, negotiation and communication skills. The ability to work independently and plan, initiate and organize. Ability to carry out assigned projects to their completion. Proven record of establishing and maintaining effective working relationships with co-workers, customers, prospective customers and vendors. Ability to set priorities to various legal tasks and resolve them accordingly. Knowledge of current trends and practices of the technology and professional services. Ability to operate a personal computer, with knowledge relevant software, databases and Spreadsheet programs.
