General Counsel Duties: Reporting to the CEO, the General Counsel is responsible for leading corporate strategic and tactical legal initiatives including affiliated and related companies as well as international partnerships. Provides senior management to the legal team with effective advice on company strategies and their implementation and obtains and oversees the work of outside counsel. Additionally, the general counsel is directly involved in complex business transactions with critical contracts. Business transaction development and counseling with a particular emphasis on international law. Negotiation of high level contracts and their drafting. Protection of intellectual property including trademarks, copyrights, patents, and trade secrets. Advise executives within the company and work alongside employees in Strategic Business Units, Marketing, Brand Communication, Sales, Human Resources, Corporate Alliances and International Divisions. Process management associated with the areas of its mission including, priority management, deadline management, contract and status tracking, managing business expectations, consultations as required, requested, or initiated, managing legal expectations in accordance to national and international laws and standards. Contract enforcement and delinquency collections. Managing company litigation and outside counsel resources, as directed by the General Counsel. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted. Assumes ultimate responsibility for ensuring that the company conducts its business in compliance laws and regulations. Structures and manages the company’s internal legal function and staff. Oversees the selection, retention, management and evaluation of all outside counsel. Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

Qualification and Experience

Requirements: Juris Doctorate degree and 15 years of related experience as general counsel in a corporate environment and/or training, or equivalent combinations of education and experience. Broad overview experience in Intellectual Property law, including patent law, licensing of IP rights and IP due diligence. Experience working in the Digital Media industry is helpful. Familiarity of employment law and compliance investigations with DOL / OFCCP. Experience with, and strong understanding of corporate law, contracts and associated laws. Ability to draft and understand contract documents, write reports and business correspondence. General knowledge of and experience with tax laws and standards. Ability to understand and explain various contract documents, including international translations and interpretations. Ability to define problems, establish facts and draw valid conclusions related to contract documents. Experience in directing strategy and managing complex IP Litigation. Experience Managing team of attorneys and supervising legal support team; experience with cost-effective management of outside legal resources. Knowledge and experience working on matters of corporate governance with a board of directors.
