Associate General Counsel The candidate will provide a wide range of legal services and business advice to the company, with a particular emphasis in compliance, risk management, and process improvement. Provide first-line legal support for contracts to which the company is a party. Draft, review, and revise other contracts and policies as needed. Support the companies that do not have their own in-house counsel. Support commercial projects, including multi-company projects within the family of companies. Support the company’s acquisition or sale activity, including overseeing outside counsel, participating in M&A activity including legal due diligence and integration activities. Provide legal support for the company;s financing and treasury activities. Provide legal support for corporate governance and shareholder related legal activities. Monitor claims against the company companies that are (a) of at least $1 million net of insurance and/or involve exposure to specified critical negative impact events identified as part of the company enterprise risk management program. Advise the company regarding applicable laws, regulations, and regulatory schemes. Enhance the quality and cost effectiveness of legal services provided to the company and, as appropriate, to the company operating companies. Pursue more cost effective relationships with outside counsel, including exploration of value-based and fixed fee structures. Develop metrics and tools to evaluate cost effectiveness. Regularly solicit input from the company employees on performance and provide evaluations and input back to outside counsel. Identify and pursue opportunities to improve processes through use of legal work tools (e.g., Serengeti) and otherwise. Manage vendor relationships. Undertake special projects -- such as developing and helping implement an information governance framework and policies, including records management. Support other company programs that report to the General Counsel & Chief Ethics Officer, including risk management and government affairs. Work with the in-house counsel of the companies to build strong and highly effective teams and to develop strategic approaches to issues that may affect more than one company. Serve as the company's Compliance Officer, including for the purposes outlined in the Code of Ethical Business Conduct. Supervise the Paralegal/Legal Coordinator when he/she is assisting in business, commercial and corporate areas. Membership of the State bar and 6+ years practicing law, preferably including in-house experience required. Significant experience in most of the legal areas of responsibility outlined in this job description required. Exceptional written and verbal communication skills required. Demonstrated ability to use legal and business knowledge, innovative thinking, and sound judgment to solve problems and pursue opportunities for improvement required. Deadline: December 08, 2017.
