ProfileAttorney - Corporate Governance The candidate will provide legal advice and counsel on board and management level corporate governance matters across the enterprise. Will ensure the conduct of company and its subsidiaries are in compliance with the applicable legal framework and company's Risk Appetite. Foresee, mitigate, and manage legal risks. Support business operations by providing counsel on the corporate governance matters for company and its subsidiaries, management-level committees, corporate policies, and annual member meeting. Provide legal advice and counsel on corporate governance requirements and best practices, bylaws, board meetings, minutes, resolutions, charters, and secretary's certificates. Monitor legislative, regulatory, and industry developments in Corporate Governance. Oversee the governance operations for large and complex firms. Advise on Board and Board Committee structure, process, and requirements. Manage committee structure, process, and oversight.
Qualification and Experience
The candidate should have a J.D. degree from an accredited law school. Should be admitted to the practice law in one state or a territory of the US. Must have 4+ years of experience practicing law within legal area of expertise with active membership of good standing of the Bar in at least one state or territory. Strong understanding of state and regulatory requirements and expectations on board and management governance matters is needed. Financial services and/or public company corporate governance experience is preferred. Corporate policy development and process oversight desired. Experience with board meetings, charters, bylaws, and taking minutes needed.
