Profile

General Counsel The candidate will report to the Chief Administrative Officer. Will interact daily with senior management and other company personnel on a broad spectrum of internal functions, including contract and regulatory compliance, finance, sales, product management, engineering, human resources, and professional/consulting services. Serve as a key thought leader, chief compliance officer, and business advisor for relevant decision-makers. Lead, manage, and develop the legal function for DrFirst.Consistently anticipate, provide timely evaluation, propose mitigation strategies for, and advise management of potential risks in contractual, regulatory, compliance, intellectual property, employment, and other legal areas. Develop, implement, improve and review legal and compliance procedures and training. Coordinate and implement corporate governance initiatives. Serve as Chief Compliance Officer assuring regulatory compliance in all matters. Oversee the management of all litigation, disputes, and investigations providing timely guidance to management of potential liabilities and mitigation strategies. Draft, negotiate and review commercial contracts, including but not limited to, agreements relating to direct licensing, distribution, consulting, confidentiality and other business and legal documents. Develop and oversee productive relationships with outside counsel, where necessary, to efficiently manage the company’s global business needs and relationships.

Qualification and Experience

The candidate should have 10+ years of experience in Health care regulatory compliance, especially HIPAA, Corporate governance, securities, and mergers and acquisitions, Negotiating a diverse range of commercial, media and intellectual property agreements with clients, suppliers and multinational procurement departments, developing and managing compliance programs, including the drafting of policies and procedures, creating and organizing training and managing external legal counsel to maximize these relationships in a cost-effective manner and risk management. Should have understanding of financial principles applicable to a large and growing corporation; excellent legal and business writing skills. Prior experience as corporate general counsel is desirable.
