Corporate Counsel Duties: Provide counsel on a broad variety of legal matters, and perform legal research for the benefit of the organization. Perform complex contract negotiations and offer advice, as it relates to clients, vendors, partners, and internal operations. Provide legal guidance and interpretation to senior management regarding contracts, state/federal and industry regulatory requirements, intellectual property or trademark protection, and other business affairs. Perform research and risk analysis on legal issues relating to contracts, key business partnerships, regulatory requirements, privacy and risk management, human resources, marketing and intellectual property, and other general corporate matters and transactions. Serve as interface with external legal counsel for various legal and contract matters, and coordinate and lead the work of internal and external legal staff. Manage litigation and other forms of legal claims brought against the company, which includes coordination with insurance and outside counsel, as appropriate. Work with all departments and external legal counsel to draft and update legal policies, notices, and terms of use for all product offerings, as applicable. Develop standards for vendor and client contracts, including general language and provisions. Create, update, and modify standardized templates for legal documents that meet acceptable organizational risk limits. Draft/redline contractual provisions based on strategy discussions, senior management input, and organizational needs and expectations. Review, revise, and approve contracts to assure accuracy and appropriateness of contract language and attachments. Work with various departments during contract negotiations with vendors and clients, identifying business and legal issues. Provide appropriate recommendations for legal issues. Interface with insurance companies regarding adequacy of coverage to ensure alignment between contract language and organizational risk tolerance. Collaborate with Director of Legal to negotiate annual corporate insurance policy. Act as liaison between various departments for contracts that have exception items that exceed the organizational risk tolerance, and remediate as appropriate.
Qualification and Experience
Qualifications: Graduate of an accredited law school (JD Degree) with 7-10 years of legal practice or corporate in-house work. Admission (and active license) to a state bar (California preferred). Legal contract review experience. Experience in the EFT industry, with ATM or POS knowledge. Credit Union industry experience/knowledge. Must have familiarity with a variety of the field’s concepts, practices, and procedures, have a thorough understanding of general insurance provisions and associated risks, and be proficient PC knowledge and the use of standard software packages, such as Microsoft Word, Excel, and PowerPoint. Excellent verbal and written communication skills, as well as presentation skills, effective interpersonal skills, and ability to convey complex information in a way that others can readily follow, excellent planning and organizational skills, as well as ability to prioritize workload using good judgment, while balancing the need for an immediate response with accuracy and completeness of information, the ability to build strong relationships with stakeholders at all levels, internally and externally and be detail-oriented with strong problem solving skills and the ability to identify, analyze, and resolve problems, driving solutions to completion.
