Senior Attorney The candidate will primarily provide legal support to Procurement and Real Estate business functions. Review, negotiation, drafting and implementation of all types of procurement contracts for an energy company, working through procurement vendor issues in compliance with procurement policies. Will also review, negotiate, draft and implement all types of real estate contracts and instruments, including purchase and sale contracts, deeds, utility easements and rights of way, and crossings, and will provide legal advice on related real estate disputes. Will provide legal assessments, interpretations, recommendations, and representation on issues in compliance with federal, state, county, and municipal statutes, regulations, and other legal authority. Will include providing legal advice on the interpretation of statutes, regulations, legal opinions, and corporate policies, and will review and recommend application of corporate policies to protect the company’s interests and objectives. Selects, oversees, and directs outside legal counsel as appropriate. Provide legal support for highly complex procurement issues including information technology procurement, energy equipment and other procurement needs for a large, multi-state corporation, and for highly complex real property issues including rights-of-way, easements, condemnations, and leases. Prepare and review a variety of legal documents and contracts including documentation of commercial and procurement transactions, real estate, environmental, project development, and other miscellaneous matters. Assist in due diligence on issues of procurement of goods and services and property acquisitions and divestitures. Provide legal assessments, interpretations, recommendations, and representation on a wide range of legal issues involving federal, state, county, and municipal statutes, regulations and other legal authority, as well as corporate policies. Draft and revise all forms of legal documents including contracts, data requests, data request responses, testimony, regulatory documents, reports, and presentations. Develop and present recommendations to senior management within the organizational unit and the company regarding courses of action to ensure compliance with applicable legal authority and minimize legal risks. Select, oversee, and direct outside legal counsel, as needed. Recommend application of corporate policies and legal controls to protect the company’s interests and objectives.

Qualification and Experience

Requirements: JD Degree from an accredited law school as well as the successful completion of the Bar exam in one or more states in which the company conducts business, or capable of becoming licensed in such states. Previous procurement, real property and contract law experience, either in a law firm setting, in-house, or both. 5+ years related experience in a law firm, government or corporate legal department. Excellent oral and written communication and interpersonal skills including the ability to assess implications of proposed actions/arguments and respond appropriately in private and public forums. Highly skilled at contract drafting and interpretation, and knowledge of research and analysis techniques and application of federal, state, and local government laws and regulations. Project management and leadership skills preferred, including the ability to work individually or as a team member, to maintain project timelines, budgets, and deliver commitments.
