ProfileSenior Corporate Counsel The candidate will assist the VP, Legal and others within the Legal Department in support of the Company’s domestic and international vendor and sales (both direct and indirect) contracts, M&A and other strategic transactions, SEC reporting and corporate governance matters, intellectual property planning and management, and immigration. Will understand the intricacies of the Company business model and strategic objectives and how they should be represented in customer and vendor contracts. Structure, draft and negotiate complex commercial and vendor agreements, including distribution, international direct sales, licensing and other contracts. Provide guidance and assistance to internal departments such as Human Resources, Marketing, Manufacturing, Facilities, Quality, etc., on legal matters, as applicable. Provide support on corporate financing (debt and equity) and M&A activities, including due diligence and post-closing integration. Mentor others in Legal Department who operate in an intensive and time-sensitive environment. Support corporate governance, compliance and best practices. Provide support to VP, Legal with SEC filings, including Forms 8-K, 10-Q, 10-K, S-8 and proxy statements.
Qualification and Experience
The candidate should show completion of a Juris Doctorate degree from an accredited law school and be licensed to practice law in the U.S. Must have 5+ years of experience in a large law firm or in-house public or private company having substantial domestic and international operations. Experience of drafting and negotiating a wide variety of commercial agreements essential. Experience in providing support to VP in Legal SEC filings, including Forms 8-K, 10-Q, 10-K, S-8 and proxy statements preferred.
