Corporate Associate Duties: Provide in-house legal & paralegal support support on a broad range of general corporate and commercial matters with both domestic and international dimensions. Index and organize documents for current entities. Draft & review documents for annual filing requirements for current entities, as well as drafting & reviewing documents for formation and/or dissolution of corporate entities. Coordinate with Country Managers regarding updated entity documentation. Maintain & assist with Corporate Organizational Chart. Draft documents for formation of new entities. Coordinate with accounting advisors regarding taxation and other issues related to ongoing review of maximum utility of entity structure. Legal Actions, Suits & Proceedings. Draft, revise and review internal files & documents to initiate new proceedings related to service contracts. Draft documents and review internal files to initiate appellate proceedings related to service contracts. Monitor pending proceedings related to service contracts and employment matters. Monitor high risk contractual relationships to pre-emptively minimize risk and draft related legal correspondence (i.e., demand letters, termination letters). Corporate Contracts. Draft, review and negotiate corporate contracts for 24 country offices (i.e., copier leases, property leases, car leases, IT software licenses). Provide legal advice regarding contractual issues related to insurance coverage, contractual matters, entity structuring, and various other corporate issues. Review contract templates on an annual basis, as well as on an as-needed basis to ensure appropriate terms included. Draft, review, negotiate Confidential Disclosure Agreement, Master Services Agreements, Clinical Research Services Agreements and Consulting Agreements. Update and organize contract templates on a regular basis, as well as on an as-needed basis as requested. Review corporate insurance coverages to ensure adequate limits and coverages on an ongoing basis. Draft and coordinate information requests for renewal applications for policy renewals for Director’s & Officer’s, Kidnap & Ransom, Clinical Trials Liability, Employment Practices Liability, Workers Compensation, and Commercial General Liability policies. Coordinate with various brokers to obtain competitive quotes on policy renewals. Obtain coverage endorsements on an ongoing basis for coverage changes. Review local policies for 24 country offices to ensure appropriate coverages and limits. Draft, review and negotiate contracts and amendments to Investigator and Institution Agreements. Liaise and collaborate with senior management, clients, vendors and varied facets of the organization.

Qualification and Experience

Qualifications: JD Degree from ABA Accredited Law School. Licensed to practice law in Texas for 4-5 years. 3-4 years heavy transactional experience, including drafting, reviewing, and negotiating contracts. 2-4 years previous full-time work experience within in-house legal department and/or law firm transactional group. Industry experience within a clinical contract research organization highly preferred. Strong interpersonal skills. Highly professional demeanor. Exceptional research and writing skills. Advanced skills in MS Word, Excel and the Internet. Ability to work in a high volume, fast paced, deadline driven environment. Good organizational skills. Ability to prioritize.
